Position Overview The Legal & Company Secretary India is a standalone role responsible for supporting legal, corporate secretarial, and compliance functions in India. The role acts as the primary in-house legal contact for India operations, working closely with CAP legal team, external counsel, and internal stakeholders across Commercial, Finance, and Operations.
This position requires a hands-on professional who can independently manage company secretarial obligations, coordinate litigation and recovery matters, support commercial transactions, and ensure compliance with Indian corporate and foreign exchange laws. The role also serves as a knowledge anchor for India-specific legal and regulatory matters within the broader CAP legal function.
Key Responsibilities
1. Company Secretarial (ComSec)
- Act as the Company Secretary (or designated compliance officer) for India entities, ensuring compliance with the Companies Act, 2013, and applicable SEBI / MCA regulations.
- Manage statutory registers, minute books, and corporate records; ensure timely filing of annual returns, financial statements, and other ROC / MCA submissions.
- Coordinate board and shareholder meetings, including preparation of agendas, notices, minutes, and resolutions.
- Maintain and update corporate governance documentation; advise on director appointments, resignations, and related-party transactions.
- Liaise with the Registrar of Companies (ROC), Ministry of Corporate Affairs, and other statutory bodies as required.
2. Compliance & Regulatory
- Monitor and ensure compliance with FEMA (Foreign Exchange Management Act), RBI regulations, and other foreign investment reporting obligations.
- Track changes in Indian corporate law, labour law, and sector-specific regulations affecting India operations; advise the CAP legal team and local management on impact and required actions.
- Support the preparation and filing of FEMA returns, FLA returns, and other regulatory submissions.
- Assist in maintaining compliance calendars and risk registers for India operations.
3. Litigation, Recovery & Dispute Management
- Act as the primary internal coordinator for all litigation, arbitration, and recovery matters involving India.
- Manage relationships with external lawyers and advocates; review engagement terms, monitor case progress, and ensure timely reporting to CAP legal leadership.
- Maintain a comprehensive litigation tracker, including case summaries, hearing schedules, and financial exposure.
- Support debt recovery efforts by coordinating with external counsel and internal finance / commercial teams.
- Advise on pre-litigation settlement strategies and document settlement agreements where appropriate.
4. Commercial Legal Support
- Review, draft, and negotiate commercial contracts, including supply agreements, distribution arrangements, NDAs, and service contracts.
- Provide legal support to the India commercial and operations teams on day-to-day contractual and transactional matters.
- Identify legal risks in commercial arrangements and propose practical mitigation measures.
- Support the CAP legal team on cross-border transactions and India-specific legal due diligence.
5. Corporate Governance & Internal Advisory
- Advise local management on corporate governance best practices and internal policy compliance.
- Support internal audits and investigations from a legal and compliance perspective.
- Assist in developing and updating standard form contracts, internal legal policies, and compliance guidelines for India operations.
6. Knowledge Management & Reporting
- Maintain organized legal files, contract databases, and compliance trackers accessible to the CAP legal team.
- Provide regular updates to the CAP Legal Head on material litigation, regulatory changes,
and significant commercial transactions.
- Contribute to CAP-wide legal reporting and risk assessments as required.
Qualifications & Experience
Education:
- Bachelor of Laws (LL.B.) from a recognised Indian university; additional qualification in Company Secretaryship (ICSI) is highly preferred.
Skills & Competencies:
- Strong working knowledge of the Companies Act, 2013, FEMA, and Indian contract law.
- Familiarity with Indian labor law, environmental regulations, and sector-specific compliance (agrochemical / chemical industry experience is a plus).
- Excellent organizational skills and attention to detail; ability to manage multiple priorities in a lean team workplace.
- Strong written and verbal communication skills in English; Hindi proficiency is advantageous.
- Ability to work independently with minimal supervision, while maintaining close coordination with a remote CAP legal team.
