About the Opportunity

We are seeking distinguished and accomplished professionals to join our Board of Directors as Independent Directors . This is an chance for retired CEOs, seasoned business leaders, and senior functional heads to bring their strategic insight, governance expertise, and industry experience to guide the organization's long-term growth and strengthen board oversight.

Role Overview

As an Independent Director, you will provide objective, unbiased guidance on strategic, financial, and operational matters, while upholding the highest standards of corporate governance, risk management, and stakeholder accountability. You will play a critical role in shaping key decisions, safeguarding shareholder interests, and ensuring the organization operates with transparency and integrity.

Key Responsibilities

- Provide independent, strategic guidance to the Board and senior management on business direction, growth opportunities, and risk management.
- Bring objective judgment to Board deliberations on matters of strategy, performance, resources, and standards of conduct.
- Monitor the effectiveness of the company's governance practices and recommend improvements where necessary.
- Review and evaluate management performance, succession planning, and executive compensation frameworks.
- Safeguard the interests of all stakeholders, particularly minority shareholders, ensuring balanced and fair decision-making.
- Participate actively in Audit, Risk, Nomination & Remuneration,



or other Board committees as required.
- Ensure compliance with statutory, regulatory, and ethical standards, and support robust internal control systems.
- Contribute domain expertise to support the organization's strategic planning and long-term value creation.

Candidate Profile

- 25+ years of overall professional experience in senior leadership roles.
- Prior experience as a CEO, Managing Director, President, or Business Head (active or retired), or as a Functional Head (Finance, Operations, Technology, HR, Legal, Marketing, or similar) at a large or reputed organization.
- Demonstrated track record of strategic decision-making, P&L; ownership, and organizational leadership.
- Strong understanding of corporate governance, risk management, and regulatory frameworks.
- Proven ability to provide independent, objective, and constructive perspectives in a boardroom setting.
- High personal and professional integrity, with a reputation for sound judgment.
- Prior board experience (as an Independent/Non-Executive Director) preferred but not mandatory.
- Existing or eligible registration with the Independent Directors' Databank (where applicable) will be an added advantage.
