Role: Company Secretary & Corporate Governance

About The Function
As MakeMyTrip continues its journey as a NASDAQ-listed global consumer technology company and prepares for its next phase of capital market evolution, including a potential India listing, we are looking for an experienced Company Secretary to strengthen our Corporate Governance function.
This role goes significantly beyond statutory secretarial compliance. The incumbent will partner closely with the Executive Leadership Team, Legal, Finance, Investor Relations, and external advisors to drive best-in-class governance practices across multiple jurisdictions while supporting strategic transactions and capital market initiatives.

About The Role The Company Secretary function is central to maintaining investor confidence, regulatory excellence, and Board effectiveness.
This Role Will
- Strengthen Board governance and decision-making.
- Ensure seamless compliance across Indian and overseas jurisdictions.
- Support NASDAQ reporting obligations and future India listing readiness.
- Build governance frameworks that enable long-term business growth.
What will you be doing Corporate Governance & Board Management
- Support in preparing Board agendas, notes, resolutions, minutes, and governance documentation.
- Partner with Directors, Independent Directors, and Board Committees on governance matters.
- Drive Board effectiveness and governance best practices.
Listed Company Compliance
- Ensure compliance with applicable provisions of the Companies Act, SEBI Regulations, Secretarial Standards, and listing requirements.
- Support governance and disclosure obligations associated with MakeMyTrip's NASDAQ listing.
- Prepare the organization for future Indian listing requirements.
- Coordinate statutory filings and regulatory submissions across jurisdictions.
SEC & Capital Markets
- Support preparation and review of Form 20-F and other SEC filings.
- Coordinate mandatory SEC disclosures and governance certifications.
- Support equity issuances, share buybacks, tender offers, capital restructuring, and other capital market transactions.
- Partner with Investor Relations, Finance, and Legal on governance disclosures.
Corporate Structuring & Strategic Transactions
- Support domestic and international restructuring initiatives.
- Drive governance workstreams for mergers, acquisitions, joint ventures, and strategic investments.
- Coordinate legal entity management across multiple jurisdictions.
- Support integration activities arising from acquisitions and corporate restructuring.
Secretarial & Regulatory Compliance
- Maintain statutory registers and corporate records.
- Manage Annual General Meetings, Extraordinary General Meetings, shareholder approvals, and regulatory filings.
- Ensure timely secretarial compliance across all Group entities.
- Coordinate secretarial audits and governance reviews.
Governance Policies & Compliance
- Develop and strengthen governance frameworks, Board policies, delegated authority matrices, and compliance processes.
- Support implementation of governance policies across Group companies.
- Monitor regulatory developments and recommend governance enhancements.
Stakeholder Management
- Partner closely with Legal, Finance, Investor Relations, Tax, Treasury, Internal Audit, and Business leaders.
- Build strong relationships with regulators, stock exchanges, external counsel, auditors, merchant bankers, and Company Secretaries.
- Represent the organization before regulatory authorities where required.
Qualification & Experience
- Education
- Qualified Company Secretary – Mandatory
- LL.B. preferred.
- Additional qualifications such as MBA or LL.M. will be an advantage.
Experience
- 6-10 years of progressive experience in Corporate Secretarial, Governance, and Listed Company Compliance.
- Experience with Indian listed companies is mandatory.
- Strong exposure to NASDAQ-listed entities, SEC reporting, or ADR structures will be highly preferred.
- Experience supporting Board governance and capital market transactions.
- Demonstrated involvement in IPOs, share issuances, buybacks, mergers, acquisitions, and corporate restructuring.
- Experience working across multiple jurisdictions and managing overseas entities.
Key Success Factors for the role
- Deep expertise in corporate governance and secretarial practices.
- Strong understanding of the Companies Act, SEBI Regulations, Secretarial Standards, and capital market regulations.
- Experience managing Board and Committee governance.
- Exposure to SEC reporting, Form 20-F, and international governance frameworks.
- Solid commercial understanding of mergers, acquisitions, restructuring, and capital market transactions.
- Excellent communication and executive presence with the ability to engage effectively with Board members, senior leadership, auditors, regulators, and investors.
- High attention to detail, strong ownership, and the ability to manage multiple strategic priorities simultaneously.
