Assistant Manager Legal (Banking & Finance)

Experience: 4 to 6 years in Banking & Finance/BFSI laws, preferably covering financing transactions, treasury, fundraising, corporate borrowings, NBFC/infrastructure/real estate/project finance, structured finance, debentures and ECBs.

Reporting To: Senior Legal Counsel (DGM) Banking & Finance

Key Responsibilities

- Review, draft, negotiate and finalize loan, security, debenture, guarantee and other financing documents from the borrowers perspective.
- Provide legal support for term loans, working capital facilities, ECBs, debentures and other fundraising/treasury transactions.
- Review and monitor Conditions Precedent (CP), Conditions Subsequent (CS) and drawdown requirements.
- Manage post-disbursement matters including amendments, waivers, consents, restructuring, refinancing and security release.




- Maintain and audit financing and security documentation; support legal/statutory audits.
- Identify legal and contractual risks and provide practical advice on financing obligations, covenants and regulatory requirements.
- Liaise with lenders, banks, trustees, external counsel and internal Finance, Treasury, Accounts, Secretarial and Business teams.
- Conduct legal research and support regulatory reviews relating to financing and treasury matters.

Key Skills

- Strong legal drafting and negotiation skills.
- Valuable understanding of lending, finance and property/security-related documentation.
- Knowledge of RBI, SEBI and applicable financial regulations.
- Strong legal research, analytical and communication skills.
- Ability to manage multiple transactions and work under tight deadlines.
