ABOUT VINYL EQUITY

Vinyl Equity is a technology-first, SEC-registered stock transfer agent. We maintain the official share registers for issuer clients, from private companies to Nasdaq and NYSE-listed corporations, and run the end-to-end machinery around them: issuances and transfers, DTC/DTCC connectivity (FAST, DWAC, DRS, CBRS), KYC/KYB of holders and signers, proxy and annual meeting services, paying agency, corporate actions, and SEC transfer-agent compliance reporting.

We are a small team that automates aggressively, including with AI tooling, and holds itself to stricter standards than the rules require.

Full-time. Fully remote in India (Mangalore-based). U.S.-aligned shift coverage to Chicago (Central Time), supporting DTC and SEC cutoffs. Reports to the U.S. leadership team.

ABOUT THE ROLE

We are building our Operations team in India, and this role leads it. You will build the team from zero: define roles, recruit and train Operations Associates, design the coverage model across Indian and U.S. Eastern hours to meet DTC and SEC cutoffs, and own the quality of everything the team ships.

This is a player-coach role. In the early months you will run the operation hands-on and learn our platform from the inside, then you scale yourself by hiring, training and delegating.

Operations is also the first line of defence on a live share register:



researching exceptions, reviewing legal documents, and questioning anything that does not reconcile. You need the depth to lead that work, review it, and stand behind what gets processed.

WHAT YOU WILL DO

- Build and lead the India Operations team: recruit, train and manage Operations Associates, create an onboarding and certification path for each workflow, and design the shift model that meets DTC and SEC cutoffs across IST and U.S. hours.
- Own service quality end to end: SLAs, maker-checker controls, error tracking and operational metrics, and be the escalation point when a case falls outside procedure.
- Own the SOP library: keep procedures current, close documentation gaps, and drive automation of repetitive work with U.S. operations, compliance and engineering.
- Run daily U.S. transfer agency operations: the pending-transfer dashboard, DWAC approvals on the DTC portal, DRS profile requests, and daily FAST/SCL balancing against DTC, resolving out-of-balance items same-day.
- Process issuances and treasury orders under maker-checker controls, and review transfers of all kinds including estate, gift and restricted-stock paperwork.
- Own compliance-heavy workflows: KYC/KYB review and triage, plus daily OFAC sanctions and adverse-media checks, escalating matches to Compliance rather than clearing them in-team.
- Produce SEC transfer-agent reporting: monthly turnaround reports (Rules 17Ad-2/17Ad-6),



semi-annual lost-holder searches (Rule 17Ad-17), daily cost-basis transmissions via DTCC CBRS, and escheatment tracking.
- Support proxy and annual meetings, paying agency events, and corporate actions end to end.
- Own new-issuer onboarding and prior-agent record ingestion, reconciling positions against certified counts and DTC balances before go-live.

WHAT WE ARE LOOKING FOR

- 10+ years in securities or transfer agency operations, hands-on in an RTA or transfer agency environment, or equivalent issuer services and corporate actions operations.
- Proven experience building and leading operations teams: hiring, training, shift planning and quality management, ideally standing up a current team or delivery centre from scratch.
- Deep discipline with written procedure: run to SOP, recognise when reality does not match documentation, and escalate appropriately.
- Strong operational judgment and attention to detail when work is deadline-bound and externally controlled.

- You have worked somewhere that automates aggressively, including AI tooling, and improved processes alongside engineering.
- You have supported proxy and annual meeting operations, paying agency events, or corporate actions end to end.
