Experience working with real estate developers. Solid background in AIF fund compliance, corporate law, and governance. Experience managing multi-entity structuring in real estate, private equity, or infrastructure environments. Expertise in drafting legal documents and overseeing regulatory submissions.

Key responsibilities

Governance & Board Support

- Organize and manage Board, Investment Committee, meetings across fund and entity structures.
- Maintain statutory records and ensure accurate and timely MCA/ROC filings.
- Advise the Board on corporate governance and legal developments.

SEBI AIF & Regulatory Compliance

- Ensure end-to-end compliance with SEBI (AIF/ Companies/LLP’s) Regulations, including reporting obligations, PPM updates, and financial disclosures.
- Coordinate with SEBI and other regulatory authorities for routine and event-based submissions.
- Track regulatory changes and update internal processes accordingly.

Entity Structuring & Legal Oversight

- Draft, vet,



and manage legal documentation including contribution agreements, shareholder agreements, and resolutions.
- Support acquisition, investment, and exit processes through due diligence and compliance checks.
- Ensure structured governance across SPVs and development platforms.

Investor & LP Communication

- Oversee investor reporting includes drawdown notices, fund financials, andcapital account statements.
- Facilitate onboarding of LPs and ensure KYC/AML/FATCA compliance.
- Coordinate LP engagement, investor meets, and routine disclosures.

Audit, Risk & Internal Controls

- Coordinate internal audits, secretarial and regulatory audits across fund and group entities.
- Maintain governance policies such as Insider Trading Code, ESG-related protocols, and RPT frameworks.
- Monitor compliance workflows and implement compliance tools.
