Designation: Marmon Contract Data Validation, Playbook Development & Execution Analyst

Reporting to: Marmon Assistant General Counsel, Contracts

Location: Bangalore

Experience: 4–7 years in Law (Attorney or Corporate Paralegal)

Timing: Person needed ASAP

ESSENTIAL FUNCTIONS:

Assist the Marmon Legal Contracts Team with:

Data Validation

- Validate AI data pulls in existing Contract Management System related to:

o review of existing contract abstracting (e.g., assessing term, termination, auto-renewals and pricing changes)

o current contract abstracting o linking related documents (e.g., master service agreement and amendments thereto)

o locating executed documents that have not been moved to repository o locating primary redline documents for playbook purposes

Playbook Authoring & Governance

- Assist in development and review of playbooks and fallback positions for differing contract templates including crane group contracts, NDAs and consulting agreements by working closely with Marmon Contract team to assess existing templates agreements and utilize AI to pull external counsel redline content from existing CMS.

- Help establish and coordinate a ‘legal sounding board’ process with Marmon Contract team attorneys and designated GCs for iterative review and sign-off of playbook content, to validate playbook rules, fallback ordering, and escalation paths before deployment.

AI Assistance for Counsel

- Conduct AI assisted first pass reviews on third-party paper, running the approved playbooks against incoming contracts and, where required,



working with the relevant AGC or GC before the contract is returned to the business or routed to outside counsel.

Contract Review Assistance

- Review and negotiate non-disclosure agreements across Marmon business units.
- If qualified as an attorney in India, review India law governed contracts for alignment with applicable Indian law and regulations, flagging jurisdiction-specific issues and escalating to the relevant AGC or GC or outside counsel where appropriate.

EDUCATION AND EXPERIENCE:

- 4–7 years in Law (Attorney or Corporate Paralegal) or Contract Management/Analytics.
- Hands‑on experience with at least one AI contract review and CLM platform (e.g., Spellbook, Ironclad, Sirion, Agiloft) and Word‑based review workflows strongly preferred.
- Experience with US multinationals and cross‑time‑zone collaboration preferred.

JOB PREREQUISITES

- Contract review/negotiation experience, including working from a playbook or other written standard.
- Familiarity with contracts and the ability to review, understand and extrapolate data from legal contracts across both US and India jurisdictions, and understand risk hierarchy.
- Contract management system experience preferred.
- Working knowledge of AI, with a practical understanding of how AI tools function (deep technical expertise not required) and ability to collaborate actively with the AI team to iterate on/improve AI searches and data pulls.
- Great attention to detail.
- Clear, concise communication skills, including written/oral communication.
- Ability to facilitate US‑time virtual meetings (reasonable scheduling).
- Strong MS Office/Excel and document comparison skills; exposure to global teams preferred.
