Position: Manager Compliance & Governance

Location: Hyderabad

Reporting To: Finance Head

Experience Required: 8–15+ Years

About the Role

We are looking for an experienced, highly accountable, and detail-oriented Manager – Compliance & Governance to independently manage end-to-end statutory, regulatory, taxation, secretarial, labour law, and corporate governance compliances across multiple entities and states.

The ideal candidate will have strong experience in handling complex compliance scenarios, departmental notices, audits, assessments, investor due diligence, and multi-state regulatory requirements. The role requires the individual to act as the organization's compliance custodian, establish robust governance frameworks, and ensure timely and accurate compliance with minimal risk of lapses.

Key Responsibilities

1. Taxation Compliance

GST
- Manage GST registrations, amendments, and cancellations as required.
- Ensure timely filing of GSTR-1, GSTR-3B, GSTR-9, and GSTR-9C.
- Oversee Input Tax Credit (ITC) reconciliation and compliance.
- Ensure compliance with E-Invoicing and E-Way Bill requirements.
- Coordinate and manage GST audits and assessments.
- Handle GST notices, departmental queries, and correspondence.
- Monitor vendor GST compliance and related reconciliations.

TDS & Income Tax
- Ensure accurate TDS deduction, payment, and return filing.
- Manage quarterly TDS returns and statutory compliances.
- Oversee issuance of Form 16 and Form 16A.
- Coordinate responses to Income Tax notices and assessments.
- Liaise with tax consultants, auditors, and other external advisors.

1. Payroll & Labour Compliance

PF
- Ensure timely monthly PF filings and remittances.
- Manage PF inspections, audits, and departmental queries.
- Support employees in PF claims and related compliance matters.

ESI
- Manage ESI registrations, monthly filings, and remittances.
- Coordinate ESI audits, inspections, and compliance requirements.

Qualified Tax
- Manage state-wise Professional Tax registrations.
- Ensure timely filing and payment of applicable Professional Tax liabilities.

Labour Laws Ensure compliance with applicable labour laws and regulations, including:
- Shops & Establishments Act
- Payment of Bonus Act
- Payment of Gratuity Act
- Minimum Wages Act
- Maternity Benefit Act
- Contract Labour Act
- POSH requirements
- Labour Welfare Fund compliance
- Other applicable state and central labour regulations

1. Secretarial & Corporate Compliance





- Ensure compliance with the Companies Act, 2013.
- Coordinate and oversee ROC filings and statutory submissions.
- Support compliance requirements for Board Meetings and Shareholder Meetings.
- Ensure maintenance of statutory registers and corporate records.
- Draft and coordinate the execution of Board Resolutions.
- Manage compliance related to share allotments and transfers.
- Support ESOP, CCD, CCPS, and other investor-related compliance requirements.
- Coordinate effectively with the Company Secretary and external professionals.

1. Governance & Risk Management

- Develop, implement, and maintain a comprehensive compliance calendar.
- Establish governance frameworks, policies, and Standard Operating Procedures (SOPs).
- Conduct periodic compliance risk assessments and recommend mitigation measures.
- Perform regular compliance reviews across entities and functions.
- Prepare compliance dashboards and reports for management and leadership.
- Monitor internal controls and identify areas of compliance risk.
- Drive a strong governance and compliance culture across the organization.
- Challenge and escalate non-compliant practices where required.

1. Audit & Due Diligence

- Coordinate Internal Audits and ensure timely closure of observations.
- Support Statutory Audits and provide required documentation.
- Coordinate Investor Due Diligence exercises.
- Support Bank Due Diligence requirements.
- Assist in M&A; and other strategic due diligence exercises.
- Maintain an audit observation tracker and ensure timely closure of action items.

1. Regulatory & Business Compliance

Manage and monitor applicable registrations, licenses, and regulatory requirements, including:
- FSSAI
- MSME
- Trade Licenses
- Legal Metrology
- Warehouse and operational licenses
- State-specific registrations
- Other business and regulatory compliances applicable to the organization

1. Litigation & Notice Handling

Manage and coordinate responses to:
- GST Notices
- Income Tax Notices
- PF & ESI Notices
- ROC Notices
- Labour Department Notices




- Legal and regulatory correspondence

Coordinate with internal stakeholders, consultants, auditors, advocates, and external advisors to ensure timely and appropriate responses.

Qualifications

Preferred Qualifications:

- CA / CMA / CS preferred.
- CA Inter / CMA Inter candidates with strong and relevant experience may also be considered.

Experience & Background
- 8–15+ years of relevant experience in Compliance, Taxation, Governance, Audit, or Corporate Regulatory Compliance.
- Strong exposure to multi-state operations and compliances.
- Experience working with growth-stage or rapidly expanding organizations is preferred.
- Exposure to investor-backed companies and investor due diligence processes will be an advantage.
- Experience managing compliance across multiple legal entities is preferred.
