Position Details

Designation: Transaction Advisory Analyst

Function: Transaction Advisory / Corporate Finance / M&A;

Reporting To: Partner

Role Overview

We are seeking a highly analytical and commercially oriented Transaction Advisory Associate to support and lead transaction-related assignments involving M&A;, private equity, private credit, business restructuring, capital raising, financial due diligence and strategic corporate finance.

The Associate will work closely with promoters, CFOs, CEOs, private equity / venture capital funds, family offices, lenders, lawyers, accountants and other transaction advisors.

The role requires a solid understanding of financial statements, financial modelling, valuation, due diligence and transaction structuring, combined with the ability to independently manage transaction workstreams and interact with clients.

Key Responsibilities

A. Financial Due Diligence

Lead / support financial due diligence assignments covering:

Historical financial performance analysis, Revenue and EBITDA analysis, Quality of Earnings (QoE), Normalisation of EBITDA, Working capital analysis, Net debt analysis, Cash flow analysis, Customer and product profitability, Related-party transactions, Contingent liabilities, One-off / non-recurring items, Accounting policy adjustments, Identification of financial and operational red flags.

B. M&A; Transaction Advisory

Support transactions across the complete lifecycle:

Responsibilities include- Analyse target companies, Prepare acquisition / investment analysis, Develop transaction models, Evaluate purchase price and transaction consideration, Analyse enterprise value to equity value bridge, Assess synergies, Conduct accretion / dilution analysis where applicable, Support SPA-related financial analysis, Analyse closing accounts and purchase price adjustments,



Coordinate transaction workstreams, Support negotiations with buyers, sellers and advisors.

C. Financial Modelling & Valuation

Develop and review sophisticated financial models including: Integrated 3-statement models., DCF models, Comparable company analysis, Precedent transaction analysis, LBO models, M&A; models, Debt repayment models, Cash flow models, Scenario / sensitivity analysis, Business restructuring models. Perform valuation using: EV / EBITDA, EV / Revenue, P/E, DCF, Asset-based valuation, Transaction-specific methodologies

Evaluate the impact of: Growth, EBITDA margins, Working capital, Capex, Debt, Interest rates, Tax, Exit multiple, Investor dilution on transaction returns and valuation.

D. Commercial & Business Analysis

Develop an understanding of the target company's underlying business.

Analyse: Business model, Revenue drivers, Customer concentration, Supplier concentration, Pricing, Gross margins, EBITDA margins, Market share, Competitive position, Industry growth, Capacity utilisation, Capex requirements, Working capital intensity

Translate financial analysis into commercial conclusions and transaction recommendations.

E. Business Development Support

Participate in origination activities including: Industry mapping, Company screening, Target identification, Investor mapping, Preparation of pitch books, Preparation of transaction ideas, Client presentations, PE / VC relationship development, Lender / private-credit relationship development.

The Associate is expected to gradually develop the ability to identify potential transaction opportunities rather than functioning purely as an execution professional.

F. Candidate Profile

Educational Qualifications: Chartered Accountant (CA), CFA, MBA / PGDM – Finance, CA Inter, Graduate in Commerce / Economics / Finance

Technical Skills

Mandatory: Advanced Excel,Financial modelling, Financial statement analysis, Valuation, PowerPoint, Corporate finance
