Legal Manager Commercial & Arbitration

About the Role

We are looking for an experienced Legal Manager Commercial & Arbitration to manage commercial legal matters, contract risk assessment, tender evaluation, and arbitration/dispute resolution.

The role will work closely with Sales, Projects, Procurement, Commercial and Finance teams to safeguard the organization's legal and commercial interests.

Key Responsibilities

1. Bid & Tender Legal Evaluation

- Review and evaluate RFPs, RFQs, tender documents and bid submissions.
- Identify legal, contractual and commercial risks.
- Review deviation clauses and recommend appropriate mitigation.
- Draft and review bid qualifications and legal clarifications.
- Provide legal inputs for Go/No-Go decisions.
- Ensure compliance with applicable statutory and contractual requirements.

2. Contract Drafting & Negotiation

- Draft, review and negotiate customer and vendor contracts.
- Handle NDAs, MoUs, SLAs, AMC and project/turnkey agreements.
- Review key clauses related to indemnity, liability, penalties and liquidated damages.
- Advise business and commercial teams on contractual risks.




- Standardize contract templates and maintain contract documentation.

3. Arbitration & Dispute Management

- Manage arbitration matters involving customers and vendors.
- Coordinate with external legal counsel.
- Prepare and review legal notices, claims, replies and counterclaims.
- Compile relevant documentation and evidence for arbitration proceedings.
- Track disputes, timelines, financial exposure and legal risks.
- Support management on settlement strategies and dispute resolution.

4. Legal Risk Advisory

- Provide legal advice to Sales, Projects, Procurement and Commercial teams.
- Assess contractual risks associated with large projects and long-term agreements.
- Recommend appropriate legal and commercial risk mitigation strategies.
- Support internal investigations and compliance reviews when required.

5. Governance & Compliance

- Ensure compliance with applicable laws and contractual requirements.
- Maintain centralized legal and contract documentation.
- Support internal and external audits.
- Maintain legal risk registers and dispute-related MIS.
