A global bank standing up its India technology and operations centre has reached a size where the centre needs its own governance rhythm rather than borrowing the parent entity's, and Flexiple, a managed marketplace placing specialist talent inside global companies India teams, has been asked to help hire the person who will build it.

Governance for a centre finding its own footing

You would support the India centre's local board and governance committees end to end: preparing agendas and board packs, drafting minutes and resolutions, maintaining statutory registers, and coordinating the filings the centre owes to the Registrar of Companies and other authorities. You would also track compliance with the Companies Act and applicable Reserve Bank of India governance requirements for the centre's legal entity, and work with the global governance team to make sure local reporting lines up with what the parent entity expects.

Where the gaps currently sit

- Board pack preparation is done ad hoc by whoever has time, with no fixed template or timeline




- Statutory registers have not been consistently updated as the centre has grown
- There is no single person accountable for the centre's Companies Act compliance calendar

The profile we are hiring for

- 3 to 7 years in corporate governance or company secretarial work, ideally at a bank, financial-services company, or large corporate
- A Company Secretary qualification, or an LLB with hands-on governance and secretarial experience
- Working knowledge of Companies Act requirements and ROC filing processes
- Comfort setting up process where none currently exists, and working with both local and global stakeholders

Location: Mumbai, Chennai, Hyderabad — hybrid, based alongside the centre's leadership and legal team

Expect an HR screening, a working round on a governance-calendar exercise, and a closing round with centre leadership.
