Company Secretary – Corporate Compliance & Governance
- Ensured compliance with applicable provisions of the Companies Act 2013 and other corporate laws.
- Managed corporate secretarial and regulatory compliance for Real Estate Investment Trust (REIT) structures in accordance with guidelines issued by the Securities and Exchange Board of India.
- Monitored compliance with the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 and managed stock exchange disclosures.
- Implemented and monitored compliance under the SEBI (Prohibition of Insider Trading) Regulations 2015, including maintenance of Structured Digital Database (SDD), trading window closure, and monitoring of designated persons’ disclosures.
- Managed secretarial functions, including preparation of board meeting agendas, minutes, and resolutions.
- Maintained statutory registers, records, and filings with regulatory authorities, including the Ministry of Corporate Affairs.
- Handled regulatory filings, annual returns, and event-based compliance for the company.
- Assisted in implementing corporate governance practices and ensuring compliance with policies and procedures.
- Coordinated with auditors, legal advisors, and regulatory authorities for compliance matters.
- Ensured compliance with regulations issued by the Securities and Exchange Board of India for listed entities where applicable.
- Supported drafting and review of corporate documents, agreements, and legal records
