Company Description C. B. Jain & Associates (CBJ) is a Mumbai-based corporate advisory firm that offers end-to-end solutions for international and Indian companies, covering legal, secretarial, accounting, payroll, and transaction advisory services.
Founded in 2014, CBJ has grown into a multidisciplinary deal advisory firm, having handled over 105 fundraising and M&A; transactions, from early-stage to Series A–C deals ranging from USD 100k to USD 65 million. The firm is recognized for its expertise in deal advisory, negotiations, due diligence, and drafting transaction documents such as term sheets, SHAs, and SPAs, while helping clients mitigate deal risks. CBJ also supports clients in resolving founder disputes, investor negotiations, stakeholder reporting, and complex legal matters.
The team comprises qualified lawyers, chartered accountants, and company secretaries, and continues to expand its market presence as a specialized advisory partner for growing businesses.
Role Description The CS Trainee will work on-site in Mumbai in a full-time capacity, supporting the firm’s corporate advisory and secretarial functions. Day-to-day responsibilities may include assisting in preparation and filing of statutory forms and returns, maintaining secretarial records and registers, and supporting compliance with Companies Act, FEMA, and other applicable regulations. The trainee will help in drafting and reviewing corporate documents, board and shareholder meeting notices, minutes, and resolutions,
as well as supporting due diligence and transaction-related documentation under supervision.
The role involves coordinating with internal teams and clients, preparing reports and summaries, and assisting in research on corporate law, deal structures, and regulatory changes. The CS Trainee will work closely with qualified company secretaries and other professionals, gaining exposure to deal advisory, dispute resolution, and multi-disciplinary assignments.
Qualifications
- Current or completed enrollment in Company Secretary (CS) course, with solid interest in corporate law, compliance, and transaction advisory.
- Knowledge of Companies Act, SEBI regulations, FEMA compliance, and basic understanding of corporate governance and secretarial practices.
- Ability to draft and review corporate documents, minutes, resolutions, and statutory filings with attention to detail and accuracy.
- Strong research, analytical, and documentation skills for due diligence, stakeholder reporting, and legal and regulatory analysis.
- Proficiency in MS Office (Word, Excel, PowerPoint) and comfort working with digital documentation and compliance tools.
- Effective written and verbal communication skills and the ability to collaborate with cross-functional professional teams.
- High level of integrity, professional ethics, and willingness to learn in a fast-paced, transaction-focused environment.
- Prior internship or exposure in corporate law, secretarial practice, or advisory firms is an advantage but not
