Contract Lawyer / Legal Counsel – Retainer Basis

Role Overview

As our Retainer Lawyer, you will act as an extension of the Edit Lobby team and support us across the entire client contracting lifecycle — from reviewing and drafting agreements to negotiating terms and helping the team close contracts confidently while protecting the company's interests.

You will work closely with the Founders, Operations, Sales/Business Development, and other relevant teams.

Key Responsibilities

1. Client Contracts

- Draft, review, and revise client agreements, MSAs, SOWs, service agreements, NDAs, and other commercial contracts.
- Review contracts received from clients and identify legal, commercial, and operational risks.
- Ensure agreements adequately protect Edit Lobby's interests around payments, deliverables, timelines, revisions, ownership, confidentiality, and termination.
- Maintain standard contract templates and continuously improve them as the business evolves.

2. Contract Negotiations

- Lead or support negotiations with clients on commercial and legal terms.
- Review proposed changes and advise the internal team on their implications.
- Help the founders and business team understand legal risks in easy, practical terms.
- Recommend alternative clauses or structures where required to reach commercially workable agreements.
- Support negotiations around liability, indemnity, IP ownership, payment terms, termination, warranties, confidentiality, and dispute resolution.

3. Legal Risk Management

- Identify potential legal and commercial risks before contracts are signed.
- Flag clauses that could create disproportionate financial, operational,



or legal exposure for Edit Lobby.
- Advise the company on appropriate protections and risk mitigation.
- Ensure important agreements are structured appropriately for the nature of the engagement.

4. Ongoing Legal Support

- Provide legal advice on ad-hoc commercial matters as they arise.
- Support the company with vendor, freelancer, contractor, and partner agreements when required.
- Review business processes from a legal and compliance perspective.
- Assist with notices, amendments, termination communications, and other contractual documentation.
- Maintain an organised repository of contracts, templates, and key legal documents.

What We're Looking For

- Qualified lawyer with a recognised law degree and relevant professional experience.
- 3–7 years of experience in commercial contracts, corporate law, technology/media services, or a related area.
- Strong experience in drafting and negotiating commercial contracts.
- Excellent understanding of contractual risk, particularly around IP, confidentiality, liability, indemnity, payment, termination, and dispute resolution.
- Strong drafting and attention to detail.
- Ability to understand business requirements and translate them into practical legal solutions.
- Comfortable negotiating directly with clients and representing the company's interests professionally.
- Strong communication skills, with the ability to explain complex legal matters in simple language.
- Experience working with startups, creative agencies, technology companies, SaaS businesses, or service-based businesses is a strong plus.
