Role Description The Company Secretary and Compliance Officer will oversee corporate governance, statutory compliance, and regulatory filings for client entities and internal firm requirements.
Responsibilities include maintaining statutory registers and records, preparing agendas, minutes, and documentation for board and general meetings, and ensuring timely filings with the Registrar of Companies and other regulatory authorities. The role involves monitoring changes in company law and related regulations, advising clients and internal stakeholders on compliance obligations, and drafting and reviewing corporate documents and policies. The position also includes coordinating with legal, tax, and business advisory teams to support transactions, due diligence, and corporate restructuring.
This is a full-time,
on-site role based in New Delhi.
Qualifications
- Professional qualification as Company Secretary (CS), with valid membership of the Institute of Company Secretaries of India (ICSI).
- Solid understanding of Companies Act, SEBI regulations, corporate governance norms, and other applicable corporate and securities laws.
- Experience in managing board and shareholder meetings, drafting agendas, minutes, resolutions, and maintaining statutory registers and records.
- Proficiency in handling statutory filings, ROC compliance, regulatory documentation, and liaison with government and regulatory authorities.
- Strong legal drafting, documentation, and review skills, including policies, agreements, and internal compliance frameworks.
- Ability to interpret and apply complex regulations, conduct legal and regulatory research, and provide clear compliance advice.
- Well-developed communication and interpersonal skills for coordinating with partners, clients, and cross-functional teams.
- High attention to detail, integrity, and organizational skills, with the ability to manage multiple deadlines and confidential information.
- Prior experience in a law firm, corporate legal department, or compliance-focused role is preferred.
- Comfort with office productivity tools and compliance management software; willingness to adapt to recent systems and processes.
