Description
The Finance Manager & Company Secretary is responsible for leading the organization's financial management, statutory compliance, corporate governance, board administration, and regulatory reporting. The role ensures solid financial controls, compliance with applicable laws, supports strategic decision-making, and acts as the principal governance advisor to the Board.

Reports To: Chief Financial Officer (CFO) / Managing Director / Board of Directors
Location: Corporate Office

Key Responsibilities:

A. Finance Management Financial Planning & Analysis
Prepare annual budgets and rolling forecasts.
Develop long-term financial plans.
Perform variance analysis and recommend corrective actions.
Support strategic business planning and investment decisions.

Financial Reporting
Prepare monthly, quarterly, and annual financial statements.
Ensure compliance with applicable accounting standards (Ind AS/IFRS/GAAP).
Present financial performance reports to senior management and the Board.




Manage management reporting dashboards and KPIs.

Treasury & Cash Flow
Monitor daily cash flows.
Optimize working capital.
Manage banking relationships.
Arrange project financing and working capital facilities.
Forecast liquidity requirements.

Budget Control
Monitor departmental budgets.
Control operating costs.
Review capital expenditure proposals.
Recommend cost optimization initiatives.

Audit & Internal Controls
Coordinate statutory audits.
Lead internal audits.
Ensure implementation of audit recommendations.
Maintain robust internal financial controls.
Develop finance policies and procedures.

B. Company Secretarial Responsibilities Board & Committee Management
Organize Board Meetings.
Prepare Board agendas.
Draft Board resolutions.
Prepare minutes of meetings.
Maintain statutory registers.
Manage committee meetings.
