Jr. Legal Analyst – Mergers & Acquisitions / Investment Banking

About the Role:

We are seeking a Legal Associate with strong expertise in Mergers & Acquisitions (M&A;) and Investment Banking transactions to join our growing team in Bangalore. The ideal candidate will be responsible for providing comprehensive legal support for deal structuring, transaction documentation, due diligence, and regulatory compliance.

This is a full-time, on-site role that offers an excellent opportunity to work closely with senior management, bankers, and external counsels on complex and high-impact transactions.

Key Responsibilities:

Draft, review, and negotiate engagement letters, term sheets, NDAs, SPAs, SHAs and SSAs.

Support legal due diligence on live sell-side and buy-side M&A; and investment transaction mandates.





Assist with negotiation strategy and correspondence with counterparties and their counsel.

Liaise with internal teams, financial advisors, and external legal counsel to support smooth transaction execution.

Support on regulatory and compliance matters under the Companies Act, FEMA, SEBI, Contract Act and related corporate laws.

Support structuring and documentation on investment banking mandates.

Maintain accurate legal records and help ensure transaction timelines and risk are managed

Requirements:

Experience working in the legal team of an investment bank, or at a law firm team that assisted investment banks.

Strong drafting, negotiation, and analytical skills.

Sound understanding of corporate, securities, and foreign exchange regulations.
