Key responsibilities
A. NBFC Advisory
Advise on Lending Service Provider (LSP) arrangements, critical technology contracts, API integrations and arrangements for— partner onboarding, allocation of roles and responsibilities.
Policy advocacy and engagement with regulators/SROs for new regulations.
Advise on data collection, storage, consent and localisation requirements under the digital lending framework, the Digital Personal Data Protection Act, 2023 and RBI requirements.
Financing documents review and advisory for fund-raising and investments for the NBFC.
B. Group entity legal support
Provide general legal support across the group's legal entities (holding / platform company, the technology / LSP company and other subsidiaries).
Draft, review and negotiate a broad range of commercial contracts for group entities — vendor, services, intercompany, shared-services, SaaS and NDAs.
Support intra-group arrangements and inter-company agreements across jurisdictions.
C. Specialist advisory
Insurance – advise on key contracts and arrangements as per IRDAI Regulations.
Intellectual property — advise on trademark and brand protection (registration, watch and enforcement for the app and brand), IP ownership and assignment, copyright and software IP, licensing, and the IP terms in technology and marketing contracts.
Employment — advise on employment contracts, HR policies and workplace codes (including POSH), incentive and ESOP documentation, disciplinary, grievance and exit matters, and employment disputes.
M&A; / corporate transactions — support acquisitions and group restructurings, including legal due diligence, term sheets, definitive transaction documents.
D. Cross-cutting
Provide explicit, practical, risk-weighted advice that carries commercial context, not just legal analysis.
Create self-serve guidance, checklists and playbooks that let business teams move quickly within guardrails.
Uphold high standards of legal risk management, confidentiality and record-keeping.
