Legal Counsel – Contract Review & Management

Key responsibilities:
First-pass (L1)



contract review:
Perform first-pass review and redlining of various types agreements including commercial and related agreements (e.g., NDAs, MTAs, and other high-volume contract types) using ADM’s playbooks.
Prepare a structured review record for each agreement — what changed, the basis for the position, per-clause and overall risk rating, and open items — so onshore senior counsel can adjudicate and sign off efficiently.
Apply ADM’s standard positions and pre-approved fallback language consistently; identify out-of-playbook terms and escalate to onshore counsel (L2) with a transparent summary of the issue and options.
Meet agreed service levels for initial response and review turnaround, and keep matters moving toward execution.

NDA process management:
Manage the NDA process end to end — intake through Onit, completeness checks, redlining, negotiation support, and tracking — as the primary point
