Key Responsibilities
Transaction Documentation & Legal Review
Review and process lending and security documentation, including:
Facility Agreements
Loan Agreements
Co-Lending Agreements
Service Level Agreements (SLAs)
Deeds of Hypothecation
Guarantees
Demand Promissory Notes (DPNs)
Non-Disclosure Agreements (NDAs)
Ancillary transaction documents
Review borrower constitutional documents, board resolutions, authorizations, and approvals required for lending transactions.
Identify deviations from approved templates and internal standards and escalate exceptions appropriately.
Coordinate execution, tracking, and completion of transaction documentation.
Maintain transaction documentation trackers, checklists, and records.
Legal Research & Regulatory Monitoring
Conduct legal research relating to lending, contract law, regulatory requirements, and NBFC operations.
Monitor changes in RBI regulations, NBFC Master Directions, co-lending guidelines, digital lending regulations, and other applicable laws.
Prepare legal summaries, briefing notes,



and regulatory updates for internal stakeholders.
Assist in assessing the impact of regulatory developments on business processes and documentation.
Contract Management & Stakeholder Coordination
Coordinate with external counsel, law firms, consultants, banks, co-lending partners, and other counterparties on legal documentation matters.
Support legal documentation requirements related to anchor onboarding, vendor onboarding, co-lending partnerships, and commercial arrangements.
Track legal observations, documentation exceptions, and closure of pending actions.
Maintain legal templates, precedents, and document repositories.
Compliance, Governance & Record Management
Ensure legal records and transaction documentation are maintained in a structured and retrievable manner.
Support regulatory inspections, audits, due diligence exercises, and compliance reviews.
