Job Description
Manager – Legal & Compliance: the role requires a strong focus on fund compliance, investment documentation and transaction due diligence:

- 5–8 years of relevant experience in legal, compliance, secretarial, transaction or investment-related roles.n
- Experience with VC/PE funds, AIFs, investment transactions or financial services.n
- Experience drafting, reviewing and negotiating investment documentation such as term sheets, SSA, SHA/SSHA and definitive agreementsn
- Experience coordinating with external legal counsel and multiple stakeholders during transaction executionn
- Experience managing compliance calendars, filings, statutory records and preparing periodic compliance reportsn
- Experience conducting legal, corporate and secretarial due diligence on prospective investmentsn
- Strong understanding of corporate, SEBI/AIF and transaction documentation requirements.n
- Solid drafting, documentation, coordination and stakeholder management skills.n
- Detail-oriented,



process-driven and capable of independently managing multiple workstreams.n

n Key Responsibilities
n Fund Compliance
no Coordinate with Fund Ops team and advisors to ensure timely and accurate compliance with applicable fund, regulatory and statutory requirements.
no Monitor compliance calendars, filings, registers, records and statutory requirements.
no Support compliance with SEBI/AIF regulations and applicable corporate, tax and regulatory requirements.

n Portfolio Investment Documentation
n

- Draft, review and negotiate investment documentation including Term Sheets, SSA, SHA/SSHA and other definitive agreements.n
- Coordinate with external legal counsel and stakeholders through documentation and execution.n
- Maintain and manage the fund’s investment documentation repository.n

n Legal & Secretarial Due Diligence

- Coordinate and conduct legal, corporate and secretarial due diligence on prospective investments.
