Job Title:
GK Energy Ltd, an established entity operating alongside GK Capital, is expanding its corporate structure and currently seeking a qualified Company Secretary & Compliance Officer for its NBFC (Non-Banking Financial Company) vertical.
The ideal candidate will take ownership of the company's core corporate secretarial duties, legal drafting, and comprehensive regulatory frameworks, with a sharp focus on RBI guidelines and ongoing statutory compliance specific to the NBFC sector.
NBFC Registration & RBI Compliance
- Lead and coordinate the application process for obtaining the appropriate NBFC registration / Certificate of Registration (CoR) from the Reserve Bank of India (RBI).
- Determine and coordinate compliance with the regulatory requirements applicable to the proposed NBFC activity.
- Coordinate with RBI, professional advisors, consultants, auditors and other stakeholders in connection with the NBFC registration process.
- Prepare, review and coordinate submission of applications, declarations, undertakings, policies and other documents required for NBFC registration.
- Establish a regulatory compliance framework for ongoing NBFC operations.
- Monitor applicable RBI circulars, notifications, master directions, regulatory changes and compliance requirements.
- Ensure timely filing of applicable RBI returns and regulatory submissions.
- Maintain appropriate records and documentation relating to RBI/NBFC compliance.
- Coordinate with management and other departments to ensure compliance with applicable prudential, governance and reporting requirements.
2. Corporate Secretarial Compliance and Other Regulatory & Legal Compliance
- Ensure compliance with the Companies Act, 2013 and applicable Rules.
- Manage statutory registers, records and corporate secretarial documentation.
- Draft and issue notices, agendas and minutes of Board Meetings and General Meetings.
- Coordinate Board Meetings, Committee Meetings and General Meetings.
- Ensure timely preparation and filing of statutory forms with the Registrar of Companies (ROC).
- Maintain minutes books, statutory registers and other secretarial records.
- Coordinate incorporation-related post-incorporation compliances and establish the company's statutory compliance calendar.
- Advise the Board and management on applicable corporate law requirements.
- Monitor director-related compliances, disclosures, declarations, appointments, resignations and other statutory requirements.
- Assist in implementation of Board and shareholder resolutions.
6. Board & Management Support
- Provide professional advice to the Board and management on corporate law, secretarial and regulatory matters.
- Prepare compliance reports and presentations for Board/Committee meetings.
- Track implementation of Board and Committee decisions.
- Ensure proper documentation of regulatory and governance matters.
- Assist in corporate restructuring, fund raising, investments, borrowings and other corporate transactions, as and when required.
Key Skills & Competencies
- Strong knowledge of the Companies Act, 2013 and Secretarial Standards.
- Good understanding of RBI regulations and NBFC regulatory framework.
- Ability to independently manage statutory and regulatory compliance.
- Strong drafting and documentation skills.
- Good understanding of Board processes and corporate governance.
- Strong analytical and regulatory interpretation skills.
- Ability to coordinate with RBI, ROC, auditors, consultants and other regulators/professionals.
- Excellent written and verbal communication skills.
- Robust attention to detail and ability to manage multiple compliance deadlines.
- Ability to establish compliance systems for a newly incorporated organization .
Qualification:
- Qualified Company Secretary (Member of ICSI).
Experience:
- Freshers and candidates with 12 years of relevant experience are welcome to apply.
- Prior exposure to corporate secretarial, RBI/NBFC or regulatory compliance will be an added advantage.
