Company Secretary (CS)
Location: [Gurgaon, India] | Experience: 1-2 Years | Employment Type: Full-Time
Role Overview
We are looking for a proactive and detail-oriented Company Secretary to manage our organization's statutory, regulatory, and corporate governance compliance. This role is ideal for a qualified CS with around 2 years of post-qualification experience who is comfortable working in a fast-paced, high-growth setting. Prior exposure to a startup or high-growth company — where the CS function is lean, ownership is high, and priorities shift quickly — is strongly preferred.
Key Responsibilities
•Ensure end-to-end compliance with the Companies Act, 2013, SEBI regulations (if applicable), FEMA, and other corporate laws applicable to the business.
•Draft and vet resolutions, agreements, contracts, and other corporate-legal documents in coordination with internal stakeholders and external counsel.
•Support fundraising rounds, ESOP administration, cap table management, and investor documentation — common needs in startup environments.
•Liaise with regulatory authorities, auditors, legal advisors, and registrars on compliance and governance matters.
•Advise the leadership team and founders on corporate governance best practices, related-party transactions, and secretarial standards.
•Manage share allotments, transfers, buybacks, and other securities-related compliance.
•Keep the organization updated on changes in company law, SEBI/RBI guidelines, and other applicable regulations,
and proactively flag compliance risks.
•Coordinate transitions from LLP to a company.
•Coordinate due diligence processes for fundraising, M&A;, or other corporate transactions as needed.
Qualifications
•Qualified Company Secretary (Associate/Fellow Member of ICSI).
•2+ years of post-qualification experience in a company secretarial or corporate compliance role.
•Prior experience at a startup, scale-up, or high-growth company is strongly preferred; candidates who have single-handedly managed the CS function in a lean team will stand out.
•Sound working knowledge of the Companies Act, 2013, and familiarity with SEBI (LODR), FEMA, and related regulations.
•Experience with ESOP administration, cap table management, and investor/board documentation is a plus.
•Strong drafting, communication, and stakeholder-management skills — comfortable working directly with founders and leadership.
•Ability to work independently, manage multiple priorities, and adapt to fast-changing business needs.
•Proficiency with MCA21 portal, XBRL filings, and MS Office/Google Workspace.
