ABOUT VANTROCK

Vantrock is India's independent, operator-led real assets platform — real assets only — with logistics and industrial as the first phase of its growth.

Founded by Anshul Singhal, Founder & CEO, who has built three institutional platforms from zero and is building the fourth on his own capital: 52 million sq ft delivered (32 million as developer, 20 million as contractor), 2,000+ acres acquired, 200+ buildings, two SEBI Category II funds run to a successful close, India's first domestic warehousing AIF and India's largest industrial real estate exit — delivered across the founder's three prior platforms.

THE FINANCE & ACCOUNTS TEAM

Vantrock keeps its books in-house. The finance function owns every number from the site to the board.

Twenty-one seats when fully built; sixteen live now, one of them already filled. Small enough that every person in it is known by name to the founder; large enough to run a platform properly. Every seat in the team is a builder's seat: the function does not exist yet in the form described here, and the people who join it now are the ones who will decide what it becomes.

A STRUCTURAL CONTROL, NOT AN ADMINISTRATIVE SEAT

Vantrock's development company and its investment manager are separate entities with separate boards, kept at arm's length by design — and they sit on both sides of the same assets. Land is de-risked on the founder's balance sheet, developed by the development company, and enters the fund's vehicles at cost, with no founder premium. That principle is the platform's promise to its investors.

It has to be documented and evidenced every single time, and somebody has to hold the power to say not until it is.

WHY THIS ROLE EXISTS — AND WHEN The platform's proposed Category II AIF is the vehicle through which part of the first strategy's delivery is financed. The moment it is registered, the investment manager has a designated compliance officer by law, a regulatory calendar by regulation, and a set of investors by contract who are owed the at-par principle in evidence, not assertion.

WHAT YOU WILL OWN

- The regulatory role. Designated compliance officer for the investment manager under the SEBI (AIF) Regulations: the compliance reports, the regulatory filings, the regulator's correspondence, the inspections.
- The at-par evidence file. Every asset that moves between the development company and a fund vehicle is transferred at cost, and the file proving it — valuation, approvals, related-party clearances, board minutes — is complete before the transfer, not assembled after.




- The regulatory calendar. Every obligation the fund, the manager and the sponsor bear — SEBI, the trustee, the custodian, the investors' contractual reporting — on one register with an owner and a date, reviewed monthly with the CFO and reported to the manager's board.
- Related-party governance. The approvals, the disclosures and the conflict register for a structure where the founder, the operator and the manager share a purpose and must be shown to keep their distance.
- The power to stop. A transaction that cannot be cleared does not proceed.
- The vendors. The administrator's compliance function, the trustee's, external compliance advisers — commanded by you: briefed, held to a standard, and never relied on for judgment that is yours.
- Regulatory intelligence. Every circular, consultation paper and enforcement order that touches Category II AIFs, InvITs or REITs read on the day, its consequence for the platform written down within the week, and the founder told before he reads about it elsewhere.

WHO WE ARE LOOKING FOR

ESSENTIAL

– 10–16 years in compliance and company-secretarial practice, of which a meaningful part as the designated compliance officer of a SEBI-registered Category I, II or III AIF — through at least one full compliance cycle and, ideally, one regulatory inspection.

– A qualified Company Secretary. A law degree alongside it is strongly preferred; where you hold only one, it must be the CS.

– The SEBI (AIF) Regulations, the circulars beneath them and the Companies Act and LLP Act in daily use — not as reference material.

– Having held a line against a senior principal — said no, in writing, and had it stick — and able to describe the occasion.

– Having commanded external compliance vendors, a fund administrator's compliance function and outside counsel as the client, not as the associate.

– Based in the Mumbai Metropolitan Region, or relocating before joining.

WHAT THIS ROLE IS NOT

– Not a general counsel's seat, and not the head of legal. Corporate legal and the secretarial machinery belong to the Head — Legal & Compliance. This seat is the regulatory officer for the fund and the manager.

– Not a seat that can be filled by someone who has never been the named compliance officer. Adjacent experience — audit, secretarial without AIF, legal with fund exposure — does not qualify for a designated regulatory role.

HOW YOU WILL WORK

– Judgment in-house, execution commanded. The administrator, the trustee and the advisers do the volume; you own the calendar, the evidence and the decision.

– Everything runs on the platform's dashboards. The regulatory register, the at-par file index, the conflict register and the circular log live on the operating layer, not in a private folder.

COMPENSATION

Vantrock benchmarks compensation against the upper quartile for the role and market, weighted toward equity for candidates who want to build with us long-term.



We discuss specific numbers in the first conversation rather than anchoring either side prematurely.

CULTURAL FIT

We're building Vantrock over a decade, not a funding cycle. We're looking for people who treat technology as the default answer rather than a supplement, who want to be co-builders of the platform rather than employees executing instructions, and who are comfortable saying "I don't know" and "I was wrong." If you want a defined role with defined edges, this isn't the right seat. If you want to help build an institution from zero, it might be.

AI proficiency is a standing requirement in every Vantrock seat. You work fluently with AI tools for research, modelling, drafting and analysis, and you build on the platform's dashboards rather than around them. A supervised AI Proficiency Test is part of the process for every seat, at every level of seniority, and we say so openly.

Partner command is the second standing requirement. The books are ours, but auditors, banks, the fund administrator, valuers, law firms and system vendors are commanded by this team — briefed, held to a standard, integrated — never deferred to. We hire for judgment and accountability.

HOW WE WILL ASSESS

Everyone who applies hears from us within two working days. It carries two links: a fixed set of six questions answered by AI interview — about forty minutes, and the first work sample; we review it before the CV — and the Vantrock AI Proficiency Test, which every hire takes at every level. From there:

- The Compliance conversation. The AIF you were compliance officer for: the cycle, the inspection if there was one, the transaction you held and what happened. With the CFO.
- A 90-minute supervised case. A proposed transfer of a completed asset from a development entity into a fund vehicle, with a two-page structure and a valuation summary containing planted problems — from which you produce the clearance memo or the refusal, and the evidence list you would require. Defended to the CFO and the Founder & CEO.
