Job Summary

We are looking for an experienced Company Secretary to manage corporate secretarial functions, statutory filings, SEBI compliance, FEMA compliance, and stock exchange regulations. This is a part time remote opportunity ideal for professionals who can independently handle ROC filings, board documentation, and regulatory compliance activities.

Key Responsibilities
Ensure compliance with the Companies Act, 2013, SEBI regulations, and LODR requirements.
Prepare and file ROC, MCA, SEBI, and stock exchange submissions.
Draft notices, agendas, resolutions, and minutes for Board Meetings, AGM, and EGM.
Maintain statutory registers and secretarial records.
Handle corporate actions such as share allotment, transfer, bonus issue, and dividend compliance.
Coordinate with stock exchanges, depositories, RTA, auditors, and legal consultants.
Prepare annual reports, corporate governance reports, and disclosures.
Support IPOs, rights issues, preferential allotments, and other capital market activities.
Monitor insider trading compliance and disclosure requirements.




Assist in secretarial audits and due diligence.
Handle FEMA compliance.
Support mergers, demergers, acquisitions, and restructuring activities.

Required Skills:
Solid knowledge of the Companies Act, 2013.
Practical experience with SEBI regulations and LODR.
Expertise in ROC/MCA filings.
Drafting of board resolutions and legal documentation.
Familiarity with FEMA compliance.
Excellent communication and coordination skills.
Proficiency in MS Office.

Preferred Qualifications
Qualified Company Secretary (ICSI member).
Experience with listed companies preferred.
Prior exposure to IPO or capital market transactions is an advantage.

Pay: ₹30,000.00 - ₹45,000.00 per month
