Senior Manager – Legal | Key Responsibilities

- Conduct legal due diligence of properties and title verification to assess ownership rights, title defects, encumbrances, litigation, regulatory approvals and overall transaction risk.
- Review and advise on property acquisition, sale, lease and other real estate transactions, ensuring appropriate legal protections and commercial terms.
- Apply sound knowledge of corporate, commercial, real estate and business laws to identify, assess and mitigate legal and commercial risks.
- Draft, review and negotiate contracts and agreements, including Sale Agreements, Lease Deeds, Leave & License Agreements, Development Agreements, MOUs, vendor agreements and other commercial contracts.
- Advise internal stakeholders and senior management on legal, contractual and regulatory matters, providing practical and commercially viable legal solutions.
- Handle and coordinate litigation and legal proceedings, including matters before local courts, tribunals and other judicial/quasi-judicial authorities.
- Manage and represent the company in NCLT matters, including insolvency, corporate restructuring, liquidation, recovery and related proceedings, in coordination with external legal counsel.
- Review NCLT petitions, applications, notices, claims, affidavits, replies and other legal pleadings, and coordinate with advocates, insolvency professionals and other stakeholders.
- Monitor ongoing NCLT and other litigation matters, track case developments, hearing dates, legal risks and ensure timely submission of required documents and responses.
- Provide legal support in matters relating to IBC, Companies Act, Demergers, acquisitions and related transactions.
- Coordinate with external advocates,



solicitors, counsels and consultants and effectively manage legal matters from initiation through resolution.
- Maintain a comprehensive legal tracker for litigation, NCLT matters, contracts, notices and statutory/legal compliances.
- Advise management on potential disputes and develop appropriate risk mitigation and dispute-resolution strategies.
- Conduct legal research and keep the organization updated on changes in corporate, real estate, insolvency and commercial laws.
- Possess strong written and verbal communication, negotiation and stakeholder-management skills, with the ability to communicate complex legal issues to business teams and senior management.
- Working knowledge of local courts, NCLT/NCLAT procedures and other relevant judicial and quasi-judicial forums.

Key Requirements / Candidate Profile

- LLB degree.
- 10–15 years of relevant legal experience, preferably with exposure to real estate, corporate and commercial matters.
- Strong hands-on experience in NCLT matters is essential.
- Experience in property title verification and real estate legal due diligence.
- Strong expertise in contract drafting, vetting and negotiation.
- Experience in handling litigation and coordination with external legal counsel.
- Positive understanding of the Companies Act, Insolvency , Contract Act, Transfer of Property Act and applicable real estate laws.
- Strong analytical, negotiation, drafting and problem-solving skills.
- Ability to independently handle multiple legal matters and advise senior management on legal and commercial risks.
