Role & responsibilities :
1.Contract Review & Administration
- Perform first-level review of client contracts, NDAs, confidentiality agreements, sub-consultancy agreements and service agreements.
- Identify key commercial terms
- Flag unusual risk, liability, indemnity, insurance, intellectual property, and payment terms for escalation to Paralegal.
- Prepare contract review summaries and risk assessment.
- Manage contract review workflow and other contract review management platforms.
- Track contract status, approvals, and execution requirements.
- Maintain contract registers and document repositories.
1. Contract Lifecycle Management
- Ensure executed agreements are correctly filed and indexed.
- Monitor contract expiry dates, renewal periods, notice requirements, and key obligations.
- Support the maintenance of contract templates and clause libraries.
- Coordinate contract execution and signature collection processes.
3.Legal & Corporate Administration
- Maintain company corporate records and entity information.
- Assist with director and shareholder documentation.
- Support statutory filing activities by coordinating with local corporate secretaries.
- Organise legal documents and governance records.
1. Research & Compliance Support
- Conduct legal and regulatory research as requested.
- Assist with gathering information for employment, commercial, compliance, and governance matters.
- Prepare briefing notes and research summaries.
- Support internal compliance initiatives.
1. Taxation Compliance
- Support GST/VAT, withholding tax, and other tax compliance requirements.
- Review contract tax clauses and identify potential tax risks.
- Maintain tax records, registrations, certificates, and related documentation.
- Coordinate with Finance, Tax, and external advisors on compliance matters.
- Assist with tax audits, notices, and regulatory queries.
- Monitor tax compliance deadlines and statutory filings.
- Support cross-border tax compliance, including withholding tax and DTAA requirements.
- Review international agreements for tax implications and compliance obligations.
Education :
- A law degree (LLB or LLM) Legal Studies, Business Law,or relevant paralegal qualification
- Min 2 years of experience as a corporate paralegal or in a similar role, particularly with international or cross-border transactions especially within the APAC region.
- Positive understanding of corporate law, tax law, and regulatory compliance in various countries within the APAC region.
- Fluency in English
