About the Role

We are looking for a Compliance Intern / CS Trainee who is currently pursuing or has recently completed their Company Secretary qualification/training and is looking to build a strong foundation in corporate and NBFC compliance.

This is a 12-month learning-oriented role where you will work closely with Astranovas Compliance and Legal team and gain practical exposure to compliance requirements across both the operating entity and the NBFC.

The role is suited for a fresher who is detail-oriented, eager to learn, and interested in building a career in Company Secretarial, Corporate Governance, NBFC Regulatory Compliance, and Financial Services Compliance.

Key Responsibilities

1. Companies Act & Corporate Secretarial Compliance

- Assist the team in maintaining statutory registers, records, and minute books.
- Support preparation and documentation for Board, Committee, and shareholder meetings.
- Assist in drafting notices, agendas, minutes, resolutions, and other secretarial documents.
- Support preparation and filing of ROC forms and statutory returns under the Companies Act, 2013.
- Assist with documentation relating to changes in shareholding, share allotments, ESOPs, and other corporate actions.
- Support maintenance of corporate records and compliance trackers for both entities.

1. NBFC & RBI Compliance

- Assist the Compliance team in tracking RBI circulars, notifications, and regulatory updates applicable to the NBFC.
- Support maintenance of the RBI compliance calendar and regulatory filing trackers.
- Assist in monitoring compliance with applicable RBI requirements and internal policies.
- Support documentation and preparation of information required for RBI regulatory submissions.
- Assist in maintaining records relating to NBFC policies, licenses, registrations, and compliance requirements.
- Support the team in preparing documentation for RBI inspections, audits, and regulatory reviews.

1. Regulatory & Compliance Tracking

- Maintain and regularly update compliance calendars and trackers.
- Track applicable requirements under RBI, MCA, SEBI, and other relevant regulatory frameworks.
- Assist in monitoring upcoming regulatory changes and identifying action items for the Compliance team.




- Follow up with internal stakeholders for information and documentation required for regulatory compliance.
- Maintain proper documentation and evidence of compliance.

1. Board & Governance Support

- Assist in coordinating Board and Committee meetings.
- Support preparation of Board packs, agenda items, resolutions, and supporting documents.
- Maintain records of Board and Committee decisions and follow-up action items.
- Assist in preparing governance-related MIS and compliance reports for senior management.

1. Capital Markets & Fundraising Support

- Gain exposure to compliance requirements relating to fundraising and debt instruments.
- Assist in maintaining documentation and trackers related to NCDs, borrowings, and other financing transactions.
- Support documentation required for debenture trustees, rating agencies, legal counsel, and other intermediaries.
- Assist in maintaining records relating to ROC charges and other security/borrowing documentation.
- Support the Compliance team during fundraising and investor due-diligence activities.

1. General Compliance & Documentation

- Assist in preparing compliance certificates, declarations, undertakings, and other regulatory documentation.
- Maintain organized and audit-ready compliance records.
- Support internal and statutory audit requirements by coordinating documents and information.
- Assist in preparing compliance reports and MIS for the Legal & Compliance team.
- Support other corporate secretarial and regulatory compliance activities as required.

- Interaction with internal stakeholders, legal counsel, auditors, and regulatory intermediaries

Qualifications
- Pursuing Company Secretary (CS) and completing CS training, or recently qualified as a CS.
- CS Executive / CS Professional students with a strong interest in compliance are encouraged to apply.
- Freshers are welcome.
- Basic understanding of the Companies Act, 2013 is required.
- Interest in RBI/NBFC regulations and financial services compliance will be an advantage.
- Strong written and verbal communication skills.
- Good working knowledge of MS Office, particularly Excel and Word.
