We are looking for a technically solid Company Secretary with experience in corporate structuring, private equity, fundraising, IPO/Pre-IPO and transaction advisory. The role will involve working closely with senior management and transaction teams on corporate finance and investment-related assignments.
Key Responsibilities
- Support PE, fundraising and strategic investment transactions
- Assist with IPO/Pre-IPO preparation and structuring
- Handle corporate and capital structuring
- Support due diligence and transaction execution
- Prepare/review transaction documents, agreements and term sheets
- Work on preferential allotments, rights issues, ESOPs and securities issuance
- Analyse shareholding and capital structures
- Coordinate with investors, promoters, investment bankers, merchant bankers and legal advisors
- Ensure compliance with Companies Act, SEBI and applicable regulations
- Prepare transaction reports, presentations and notes for senior management
Requirements
- Qualified Company Secretary (CS)
- Minimum 2 years of relevant experience
- Strong knowledge of Companies Act & SEBI regulations
- Experience in corporate structuring and securities transactions
- Exposure to PE / Investment Banking / IPO / Pre-IPO / Fundraising / M&A; / Transaction Advisory preferred
- Strong analytical, drafting and stakeholder management skills
Preferred Background: Candidates from transaction advisory, investment banking, corporate finance, PE/VC, IPO or fundraising environments are preferred.
