Role overview:

The Company Secretary will serve as a vital link between the Company, its Board of Directors, shareholders, government and regulatory authorities. The primary responsibility is to independently ensure absolute compliance (SEBI & Listing Regulations), secretarial works with all relevant statutory and regulatory requirements, particularly focusing on SEBI regulations and the Companies Act, while maintaining the highest standards of corporate governance.

Key Responsibilities 1. Board & Committee Management

- Schedule, organize, and conduct Board meetings, Committee meetings, and General Meetings (AGMs/EGMs).
- Formulate agendas, prepare comprehensive board notes, and draft precise minutes of the meetings.
- Ensure timely implementation of and follow-up on decisions taken by the Board.

2. SEBI & Listing Compliances





- SEBI (LODR) Regulations: Manage continuous and periodic disclosures, financial result submissions, corporate governance reports, and event-based intimations to stock exchanges (BSE & NSE).

- SEBI (PIT) Regulations: Maintain the Structured Digital Database (SDD), manage the closure of trading windows, and track disclosures related to insider trading.

- SEBI (SAST) Regulations: Monitor shareholding patterns and ensure timely disclosures regarding the acquisition and takeover of shares.

- SEBI (ICDR) Regulations: Handle compliances related to further capital issuance, preferential issues, or rights issues if undertaken by the company.

- Updated management about the latest amendment and their compliance.

3. Corporate Law & Statutory Compliances

- Ensure absolute compliance with the Companies Act, 2013 and the rules made thereunder.

- File necessary e-forms, returns, and financial statements with the Registrar of Companies (ROC) / Ministry of Corporate Affairs (MCA).
- Maintain all statutory registers, books, and records as required by law.
- Oversee compliance with the Securities Contracts (Regulation) Act (SCRA) and the Depositories Act regarding dematerialization and transfer of securities.

4. Shareholder & Stakeholder Relations





- Coordinate with the Registrar and Share Transfer Agent (RTA) to resolve investor grievances efficiently.
- Manage corporate actions such as dividend declarations, bonus issues, or stock splits.

Job Specification: 1. Qualifications & Experience

- Mandatory Qualification: Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI).

- Experience: Strictly 5 years of post-qualification experience working actively within a company listed on the BSE and/or NSE.

- Preferred: An additional degree in Law (LL.B.) will be highly advantageous.

2. Core Legal & Regulatory Knowledge The ideal candidate must possess deep working knowledge and practical hands-on experience in:

- Companies Act, 2013 & Rules
- SEBI (Listing Obligations and Disclosure Requirements) Regulations [LODR]
- SEBI (Prohibition of Insider Trading) Regulations [PIT]
- SEBI (Substantial Acquisition of Shares and Takeovers) Regulations [SAST]
- SEBI (Issue of Capital and Disclosure Requirements) Regulations [ICDR]
- SEBI Act, Depository Act, and SCRA

Skills & Competencies

- Drafting Skills: Exceptional ability to draft board resolutions, minutes, annual reports, and legal notices.

- Communication: Strong verbal and written communication skills to effectively interact with Board Members, Regulators, and Legal Counsel.

- Attention to Detail: Meticulous approach to tracking compliance deadlines to ensure zero-penalty operations.

- Integrity: High ethical standards, confidentiality, and qualified maturity.
