Role Overview
We are looking for a Qualified Company Secretary with robust experience in Corporate Secretarial Compliance, Treasury, Banking and Working Capital Management. The role will have dual responsibility for ensuring robust statutory/corporate compliance and independently managing key banking and lender-related activities.
Key Responsibilities
Company Secretarial & Corporate Compliance
- Ensure compliance with the Companies Act, 2013, applicable rules and other corporate laws.
- Manage timely ROC/MCA filings, statutory returns and other regulatory submissions.
- Maintain statutory registers, records, minutes books and other corporate documents.
- Coordinate Board Meetings, General Meetings and Committee Meetings, including notices, agendas, resolutions and minutes.
- Prepare and maintain Board resolutions, shareholder resolutions, authorisations and corporate documentation.
- Manage matters relating to appointment/resignation of directors, KMPs and other statutory changes.
- Ensure timely creation, modification and satisfaction of charges with ROC and maintain related records.
- Maintain and monitor the statutory compliance calendar and ensure timely completion of all compliances.
- Coordinate with statutory auditors, internal auditors, legal advisors and consultants on corporate and regulatory matters.
- Monitor changes in applicable laws and advise management on relevant compliance requirements.
- Support management in corporate restructuring, agreements, authorisations and other secretarial matters as required.
Treasury & Banking
- Manage day-to-day coordination and relationships with banks and financial institutions.
- Monitor fund-based and non-fund-based facilities including CC, WCDL, Term Loans, BGs and LCs.
- Coordinate bank renewals, annual reviews, enhancements, sanction documentation and facility amendments.
- Maintain bank-wise details of limits, utilisation, outstanding, interest rates, securities and renewal dates.
- Monitor loan repayments, interest servicing, bank charges and other banking obligations.
Stock Statements, Stock Audits & Lender Compliance
• Ensure timely preparation and submission of monthly stock statements, book debt statements and other lender submissions.
- Coordinate Drawing Power (DP) calculations and reconciliation of stock and receivables considered for bank limits.
- Coordinate bank stock audits, provide required information and ensure closure of audit observations.
- Monitor compliance with lender covenants and conditions stipulated in sanction letters.
- Coordinate submission of financial statements, certificates, MIS and other information required by banks.
Qualification & Experience
- Qualified Company Secretary (CS) with 5+ years of relevant experience.
- Strong hands-on experience in Company Secretarial compliance and Banking/Treasury is essential.
- Experience in bank renewals, sanction letters, stock statements, stock audits, drawing power and lender compliance is strongly preferred.
- Manufacturing / corporate experience preferred.
- Strong communication, documentation, Excel and stakeholder-management skills.
