Job Description

Introduction
You'll provide corporate secretarial and administrative support to the Fund Corporate Secretarial (FCS) team, ensuring client entities remain compliant with legal, regulatory, and governance requirements. You'll manage complex client portfolios, support board governance activities, and collaborate with internal stakeholders to deliver high-quality client service.

What You'll Do

- You'll provide corporate secretarial support to complex fund and corporate structures in line with agreed service standards.
- You'll prepare, review, and finalize board packs, board minutes, resolutions, UBO/RBO documentation, and other regulatory filings.
- You'll attend board and shareholder meetings and support governance and compliance-related activities.
- You'll coordinate client onboarding, payment processing, transaction monitoring, compliance reviews, and bank account opening documentation.
- You'll act as a key contact for clients and internal teams, ensuring timely delivery of requests and mentoring junior team members.

Qualifications

- You'll hold a Bachelor's degree in Law (or a related field) and be a qualified Company Secretary (CS).
- You'll have 6+ years of experience in corporate, company, or fiscal law, with exposure to corporate secretarial functions.
- You'll have experience with board governance, company secretarial practices, regulatory filings, board meetings, and complex minute drafting.
- You'll possess knowledge of fund structures, special-purpose vehicles (SPVs), private equity, and real estate markets.
- You'll demonstrate solid communication skills and proficiency in Microsoft Office applications, including Excel, Word, and Power Point.

Preferred Experience

- You'll have experience working in Financial Services or a Shared Services environment.
- You'll have exposure to multinational corporate environments.
- You'll have experience as a Corporate Secretary, Paralegal, or a similar role across multiple jurisdictions.
- You'll have knowledge of corporate secretarial practices relating to funds and SPVs.
