Job Summary

We are looking for a qualified Company Secretary with 1+ years of experience in a listed company to ensure statutory and regulatory compliance. The role involves managing Board and shareholder meetings, maintaining corporate records, and overseeing governance practices. The candidate will handle secretarial audits, regulatory filings, and compliance reporting while advising management on legal and corporate governance matters. Solid knowledge of the Companies Act, SEBI regulations, and excellent organizational skills are essential.

Corporate Governance
Advise the Board of Directors on corporate governance practices.
Ensure compliance with applicable laws, regulations, and listing requirements.
Assist in implementing governance policies and procedures.
Maintain ethical and regulatory standards throughout the organization.
Board and Committee Management
Organize Board, committee, and shareholder meetings.
Prepare agendas, notices, and meeting materials.
Record and maintain minutes of meetings.
Follow up on Board resolutions and action items.
Statutory and Regulatory Compliance
Ensure compliance with the applicable Companies Act and other regulations.
File statutory returns, forms, and reports with regulatory authorities.
Maintain statutory registers and records.
Monitor changes in laws and advise management accordingly.
