KEY RESPONSIBILITIES
1. Group Compliance Framework and Governance
– Establish and maintain a single Group compliance framework covering every entity, business, plant and project site.
– Build and maintain a complete compliance register, mapping every applicable statute, licence, registration, filing and return to a named owner and a due date.
– Maintain a Group compliance calendar and ensure no statutory due date is missed across any entity.
– Define compliance policies, standard operating procedures and delegation of authority.
– Establish an assurance mechanism to verify that reported compliance has actually been performed, rather than relying on self-certification alone.
2. Listed Entity Compliance
– Own compliance with the Companies Act 2013 and the SEBI Listing Obligations and Disclosure Requirements Regulations for the listed entity.
– Ensure timely and accurate filings and disclosures to the stock exchanges, including periodic results, material events and shareholding disclosures.
– Administer the insider trading framework — the code of conduct,



identification and handling of unpublished price sensitive information, maintenance of the structured digital database, and operation of the trading window.
– Coordinate board and committee governance requirements, statutory registers, secretarial audit and annual return.
– Coordinate Business Responsibility and Sustainability Reporting with Finance, Sustainability and the business.
– Work with the Company Secretary, Investor Relations and Finance to ensure consistency between what is disclosed and what is filed.
3. FMCG Compliance

– Own compliance with the food / non food Products Act and rules, including pack warnings, labelling specifications, advertising and promotion restrictions, and point-of-sale requirements.
– Ensure indirect tax and duty compliance for products, including GST, applicable cess and excise obligations, in coordination with Finance.
– Maintain Board registrations and returns where applicable.
