Run the day-to-day finance of client as its first dedicated finance hire. Client is a pre-revenue business building modular high-performance computing (HPC) infrastructure that converts stranded power into Bitcoin mining, with commercial operations targeted from January 2027. The Controller owns the books, cash and reporting, manages the external advisers who handle tax, audit and compliance, and gets the finance function ready for go-live. It is a hands-on, build-it role, not an oversight seat.

Books, Close & Controls

- Own the group’s bookkeeping, chart of accounts and financial records, ensuring a robust and reliable monthly close across all entities.
- Oversee accounts payable and receivable, bank reconciliations, expense management and day-to-day financial controls.
- Establish and continuously enhance the accounting system, processes and internal controls appropriate to the company’s stage of growth.

Cash, Runway & Capital Management
- Take ownership of cash management and runway, tracking monthly burn against funds raised, maintaining a rolling cash-flow forecast and proactively identifying liquidity and runway risks.
- Monitor the deployment of capital against the build budget, including transformers, containers and the mining fleet, across Phase 1 and Phase 2.
- Administer investor obligations as they fall due, including the preferred dividend payable quarterly in arrears from Q3 2026.
- Manage banking, treasury and custody arrangements across the company’s USD, AED and NGN accounts.

Board, Investor & JV Reporting
- Prepare accurate monthly management accounts and board reporting, fully reconciled to the canonical financial model and supported by clear budget-versus-actual analysis and variance commentary.
- Support investor reporting across the SPVs and joint-venture reporting for the Oando and Shoreline ventures.




- Maintain clear separation between venture-level economics—including the power partner’s share and project waterfall—and holdco-level investor obligations.

Adviser Management & Operational Readiness
- Serve as the primary finance point of contact for Deloitte, Templars, TLP Advisory, and the company’s treasury and custody banks, coordinating deliverables and ensuring that specialist advisers execute filings and technical workstreams accurately and on time.
- Build the finance function for commercial operations from January 2027, including revenue recognition, Bitcoin treasury management, digital-asset accounting under ASC 350-60, and the group’s consolidation and transfer-pricing framework.
- Work closely with Deloitte and other advisers to establish these frameworks, while progressively taking ownership of the underlying processes and technical requirements as the business scales.

Non-negotiable skills and requirements:

- Consistently deliver clean, accurate and timely statutory filings across the US, ADGM and Nigerian entities, with no missed deadlines or avoidable penalties.
- Bring 5–10 years of progressive accounting or finance experience, with increasing responsibility for financial reporting and control.
- Demonstrated experience preparing consolidated US GAAP financial statements and delivering a disciplined monthly close in line with a defined reporting calendar.
- Proven ability to manage accounting and finance responsibilities independently within a standalone or lean finance environment.
- Strong working knowledge of IFRS, with the ability to operate confidently across different accounting and reporting frameworks.
- Experience in startups, infrastructure, energy, mining or digital assets is advantageous.
- Genuine interest in Bitcoin and digital-asset businesses is a strong plus.
- Experience coordinating external auditors, tax advisers and professional services firms, ensuring deliverables are accurate, timely and well managed.
- Comfortable operating across multiple legal entities and jurisdictions,



with the organizational discipline and commercial judgement to manage increasing complexity as the business scales.
