Job Overview

We are looking for a technically solid Company Secretary with experience in corporate structuring, private equity, fundraising, IPO/Pre-IPO and transaction advisory. The role will involve working closely with senior management and transaction teams on corporate finance and investment-related assignments.

Key Responsibilities
Support PE, fundraising and strategic investment transactions
Assist with IPO/Pre-IPO preparation and structuring
Handle corporate and capital structuring
Support due diligence and transaction execution
Prepare/review transaction documents, agreements and term sheets
Work on preferential allotments, rights issues, ESOPs and securities issuance
Analyse shareholding and capital structures
Coordinate with investors, promoters, investment bankers, merchant bankers and legal advisors
Ensure compliance with Companies Act, SEBI and applicable regulations
Prepare transaction reports, presentations and notes for senior management





Requirements
Qualified Company Secretary (CS)
Minimum 2 years of relevant experience
Robust knowledge of Companies Act & SEBI regulations
Experience in corporate structuring and securities transactions
Exposure to PE / Investment Banking / IPO / Pre-IPO / Fundraising / M&A; / Transaction Advisory preferred
Strong analytical, drafting and stakeholder management skills

Preferred Background: Candidates from transaction advisory, investment banking, corporate finance, PE/VC, IPO or fundraising settings are preferred.
