Position Purpose To drive MAN Industries' long-term strategic growth agenda by leading capital market initiatives, fundraising, investor relations, domestic and international listing, strategic acquisitions, corporate restructuring, and cross-border business development. The incumbent will serve as the Company's principal strategic interface with investment banks, merchant bankers, private equity and sovereign wealth funds, regulators, and global investors, while enabling domestic and international expansion initiatives in line with the Board's strategic vision.

Key Responsibilities

1. Corporate Strategy & Business Growth

- Develop and execute long-term corporate growth strategies aligned with business objectives.
- Evaluate diversification opportunities and recent business initiatives.
- Prepare Board-level investment proposals and strategic presentations.
- Support executive decision-making through commercial and financial analysis.
- Drive strategic transformation initiatives across domestic and international businesses.

2. Capital Raising & Fundraising

- Lead equity and debt fundraising initiatives across the Group.
- Coordinate with Merchant Bankers, Investment Banks, PE/VC Funds, Sovereign Funds, and Financial Institutions.
- Structure capital raising transactions in full compliance with regulatory requirements.
- Support project financing for India and overseas operations.
- Manage Information Memorandums, Pitch Books, Financial Models, and Due Diligence documentation.

3. Domestic & International Listing

- Evaluate domestic and international listing opportunities.
- Support IPO, QIP, FPO, Rights Issue, Preferential Allotment, and Convertible Instruments.
- Coordinate with SEBI, Stock Exchanges, overseas exchanges, Legal Advisors, and Consultants.
- Ensure compliance with listing obligations and disclosure requirements.

Strategic Acquisitions & Investments

- Identify acquisition targets aligned with corporate strategy.
- Lead valuation exercises and financial due diligence.
- Structure commercial transactions and negotiate terms.
- Support Joint Ventures and strategic investments.
- Lead post-merger integration planning and execution.

5. Investor Relations

- Build relationships with institutional investors, analysts, family offices, and strategic investors.
- Prepare investor presentations and earnings communication.
- Organize investor meetings and roadshows.
- Maintain a structured investor engagement calendar.

6. Cross-Border Business Development

- Support expansion across the Middle East, Europe, Africa, and other strategic markets.
- Develop relationships with international investment promotion agencies.
- Coordinate cross-border investment transactions.
- Assess country-specific investment and regulatory risks.

7. Strategic Partnerships

- Identify partnerships with technology providers, EPC companies, infrastructure firms, and financial institutions.
- Structure long-term commercial partnerships.
- Evaluate alliance opportunities supporting MAN Industries' growth strategy.

8. Market Intelligence & Deal Sourcing

- Monitor global capital market trends and macro-economic developments.
- Track competitor activity and sector benchmarks.
- Identify and screen new investment opportunities.
- Maintain a structured investor and transaction CRM pipeline.
- Support opportunity screening and prioritization for leadership review.

9. Governance & Regulatory Compliance

- Ensure compliance with SEBI Regulations, the Companies Act, FEMA, RBI Guidelines, and applicable international regulatory requirements.
- Coordinate closely with Legal, Secretarial, Finance, Tax, and Audit teams.
- Maintain strict confidentiality on all strategic and market-sensitive transactions.
