Role Summary

The candidate will independently manage and drive a broad spectrum of corporate secretarial, governance and regulatory compliance matters for the listed entity and its group companies. The role requires a robust understanding of the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, other applicable SEBI Regulations and corporate laws, coupled with the ability to independently own assignments, exercise sound judgement, build strong stakeholder relationships and collaborate effectively while upholding the highest standards of corporate governance.

Key Responsibilities

Board & Corporate Governance:
Independently manage end-to-end Board, Committee and Shareholder Meeting processes,



including Annual General Meetings, Extraordinary General Meetings and Postal Ballots.
Prepare and finalise Board and Shareholder Notices, Agendas, Presentations, Minutes, Circular Resolutions and Action Trackers.
Drive compliance with the Companies Act, 2013, SEBI Listing Regulations and other applicable corporate laws.
Drive the implementation of corporate governance initiatives and adoption of governance best practices.
Maintain statutory registers, secretarial records and corporate documentation.
Regulatory Compliance
Ensure timely statutory filings and disclosures with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), Stock Exchanges, SEBI and other regulatory authorities, including XBRL filings.
Monitor and ensure compliance with applicable SEBI Regulations, including: o SEBI (Listing Obligations and Disclosure Requirements) Regulations; o SEBI (Prohibition of Insider Trading)
