Key Responsibilities

1. Regulatory & Compliance Management
- Stay continuously updated with regulatory frameworks impacting the company, including Companies Act and private market investment guidelines
- Monitor changes in laws, regulations, and circulars affecting Pre-IPO, Private Equity, and

unlisted securities
- Advise management on required adaptations to remain compliant
- Develop and maintain internal compliance policies and procedures
- Ensure proper documentation and audit readiness

2. Legal Advisory (Internal & External)




- Act as the primary legal advisor for all company operations
- Provide legal guidance to management on business decisions and risk exposure
- Identify legal risks in new initiatives, partnerships, or deal structures

Contracts & Agreements Oversight
- Draft, review, and vet legal agreements including:
◦ NDAs

◦ Non-poaching / Non-solicitation agreements

◦ Employment contracts

◦ Vendor agreements

◦ Investor agreements

◦ Deal-related documentation
- Add, modify, or remove contractual clauses to safeguard the company’s legal interests
- Ensure enforceability and legal strength of all contracts

3. Documentation & Due Diligence
- Draft legal and corporate documents as required by the company
- Conduct legal due diligence for companies being onboarded for investment deals
- Review corporate records, compliance history, litigation exposure, and legal structure of

potential investee companies
