Hiring | Legal Manager – Investment Funds | Mumbai

Next Orbit Group is looking for a Legal Manager to join the team in Mumbai, with hands-on experience in AIFs, VCFs, investment transactions and legal/regulatory compliance.

Key Responsibilities:

Formation, structuring and registration of funds and investment structures in India and globally

AIF & VCF legal and regulatory compliance, including SEBI filings and ongoing fund compliances

Drafting, reviewing and negotiating investment and fund documentation

Handling investment transactions, including due diligence, term sheets, SHA, SPA, subscription and debenture/convertible instruments documentation

Advising on corporate, commercial, FEMA/RBI and regulatory matters

Managing investor documentation, onboarding and related legal matters





Coordinating with external counsel, regulators, investors, investee companies and other stakeholders

Handling and coordinating litigation and dispute matters

Supporting legal and compliance requirements of Group entities

Eligibility:

Company Secretary & LLB degree from a recognized university

Prior relevant experience in AIFs, VCFs, Private Equity, Venture Capital, Asset Management or Investment Funds

Strong understanding of SEBI regulations, corporate laws and FEMA/RBI regulations

- Valuable drafting, negotiation and legal research skills
