KEY RESPONSIBILITIES 1.
Group Compliance
Framework and Governance – Establish and maintain a single Group compliance framework covering every entity, business, plant and project site. – Build and maintain a complete compliance register, mapping every applicable statute, licence, registration, filing and return to a named owner and a due date. – Maintain a Group compliance calendar and ensure no statutory due date is missed across any entity. – Define compliance policies, standard operating procedures and delegation of authority. – Establish an assurance mechanism to verify that reported compliance has actually been performed, rather than relying on self-certification alone. 2.
Listed Entity
Compliance – Own compliance with the Companies Act 2013 and the SEBI Listing Obligations and Disclosure Requirements Regulations for the listed entity. – Ensure timely and accurate filings and disclosures to the stock exchanges, including periodic results, material events and shareholding disclosures. – Administer the insider trading framework — the code of conduct, identification and handling of unpublished price sensitive information, maintenance of the structured digital database, and operation of the trading window. – Coordinate board and committee governance requirements, statutory registers, secretarial audit and annual return. – Coordinate Business Responsibility and Sustainability Reporting with Finance, Sustainability and the business. – Work with the Company Secretary, Investor Relations and Finance to ensure consistency between what is disclosed and what is filed.
- FMCG Compliance – Own compliance with the food / non food Products Act and rules, including pack warnings, labelling specifications, advertising and promotion restrictions, and point-of-sale requirements. – Ensure indirect tax and duty compliance for products, including GST, applicable cess and excise obligations, in coordination with Finance. – Maintain Board registrations and returns where applicable. – Own FSSAI licensing, product labelling, hygiene and periodic returns for both food manufacturing plants. – Ensure Legal Metrology and packaged commodity declarations are accurate across all products and pack sizes. – Manage Extended Producer Responsibility registration and reporting for packaging. – Review artwork, packaging and labelling changes for statutory compliance before commercial release.
- Plant, Labour and Establishment Compliance – Own factory licences, approvals and renewals across all manufacturing locations. – Ensure compliance with the Factories Act, applicable labour codes and state legislation, including registers, returns and displays. – Own Provident Fund, ESIC, Professional Tax, Labour Welfare Fund and gratuity compliance for all entities.
– Ensure contract labour compliance, including principal employer obligations and contractor verification. – Own Prevention of Sexual Harassment compliance across entities — committee constitution, training and annual returns. – Coordinate with Human Resources on establishment registrations for offices at Delhi, Noida, Mumbai and elsewhere.
- Environment, Health and Safety Compliance – Own pollution control board consents to establish and to operate, and their timely renewal. – Ensure hazardous waste authorisation, effluent and emission compliance and statutory returns. – Own boiler, electrical, lift and fire safety certifications across sites. – Coordinate environmental and forest clearances for renewable energy projects. – Ensure statutory safety requirements, records and reporting are met at every site.
- Power and Renewable Energy Compliance – Own regulatory compliance under the Electricity Act and the applicable Central and State Electricity Regulatory Commission regulations. – Track tariff orders, regulatory filings, petitions and compliance directions. – Ensure Renewable Purchase Obligation, open access and generation-related compliance. – Coordinate project-level statutory approvals, grid connectivity and transmission clearances. – Support land-related statutory compliance, including conversion, right of way and revenue records.
- Technology, Cybersecurity and Data Protection Compliance – Own compliance with the Digital Personal Data Protection Act 2023 across all Group entities, including notice, consent, retention and data principal rights. – Ensure compliance with the Information Technology Act and rules, and with CERT-In directions including incident reporting timelines. – Coordinate with the cybersecurity business on client, contractual and certification compliance obligations. – Establish data protection governance, records of processing and breach response procedures in coordination with Legal and IT.
- Monitoring, Audit and Reporting – Establish periodic compliance certification from each entity and business head. – Conduct or commission compliance audits across entities, plants and project sites. – Maintain a register of non-compliances, with root cause, remediation plan, owner and closure date. – Prepare and present the Group compliance dashboard to leadership,
and compliance reporting to the Board and Audit Committee for the listed entity. – Track and report on statutory dues, penalties, notices and contingent liabilities in coordination with Finance. 9.
Regulatory
Liaison and Representation – Act as the Group point of contact for regulators, inspectors and statutory authorities. – Manage inspections, audits, summons and show-cause notices, and coordinate responses. – Represent the Group before authorities where required, with Legal support. – Build constructive working relationships with regulatory bodies across sectors and states.
- Acquisitions and New Entity Compliance – Conduct compliance due diligence on target companies and quantify inherited exposure. – Plan and execute compliance remediation and integration for acquired entities. – Onboard acquired businesses onto the Group compliance framework, register and calendar. – Establish compliance for new entities, plants, projects and locations from set-up.
- Team, Capability and Advisory – Build and lead the Group compliance function, and define responsibility between Group and entity level. – Develop compliance capability within businesses through training and clear guidance. – Act as internal compliance advisor to Group and business leadership, and to acquired companies. – Manage external compliance advisors, consultants and service providers. CANDIDATE PROFILE Essential – Company Secretary, or a law or accountancy qualification, with 15+ years of statutory and regulatory compliance experience. – Compliance experience in a listed Indian company — SEBI Listing Regulations, insider trading regulations and exchange filings. – Compliance experience in a manufacturing environment — factory licensing, labour, environmental and plant-level statutory compliance. – Experience managing compliance across multiple legal entities and multiple states. – Demonstrated ability to build a compliance framework, register and calendar from the ground up. – Experience dealing directly with regulators, inspections and show-cause proceedings. – Robust drafting and reporting ability, with the judgement to present a compliance position honestly to leadership and to a Board. – Willingness to be hands-on. This role builds the function rather than supervising an existing one. Preferred – Exposure to regulated consumer categories, particularly alcohol, food or pharmaceuticals. – Exposure to the power, renewable energy or infrastructure sector and to electricity regulation. – Working knowledge of the Digital Personal Data Protection Act and data protection compliance. – Experience of compliance due diligence and post-acquisition remediation. – Experience in a promoter-led or family-owned group environment.
