Job Description: Company Secretary (CS)

Job Overview
We are seeking a qualified and detail-oriented Company Secretary with 3 to 4 years of experience to join our corporate legal and compliance team in Bangalore. The ideal candidate will take ownership of the company's secretarial, statutory, and corporate governance functions. You will ensure strict compliance with the Companies Act, 2013,



manage regulatory filings, and act as a reliable advisor to the management on secretarial standards.

Key Responsibilities

Board Management & Secretarial Activities
● Meeting Organization: Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGM) / Extra-Ordinary General Meetings (EGM).
● Documentation: Draft comprehensive agendas, notices, explanatory statements, and detailed minutes of all corporate meetings.
● Resolutions: Formulate corporate Board and Shareholder resolutions within required timeframes.

Compliance & Statutory Filings

● ROC Compliances: Prepare and submit accurate statutory forms, returns, and financial statements to the Registrar of Companies (ROC) via the MCA portal.
● Statutory Registers: Maintain up-to-date statutory registers, minute books, and share records.
● Regulatory Codes: Monitor changes to corporate law, FEM
