About the Role

We are looking for a detail-oriented and commercially minded Contracts & Compliance Manager to take ownership of Zeidler's internal contract management with clients, our client and counterparty due diligence processes – both the due diligence we carry out on clients and the due diligence that clients and counterparties carry out on us – and our wider policy framework outside of our Information Security Management System (ISMS) policies.

This is a central governance role. You will work closely with the COO/CDO, Legal, Information Security and teams across Zeidler's international offices to keep our contractual, due diligence and policy documentation accurate, current and audit-ready, and to respond confidently when clients and counterparties look to us for the same.

Key Responsibilities:

Contract Management

- Own and manage the end-to-end lifecycle of Zeidler's internal contracts with clients (engagement letters, service agreements, data processing agreements, NDAs and amendments), from initial request through drafting, negotiation, execution, renewal and termination.
- Maintain a centralised, up-to-date contract repository and tracker, flagging key dates – renewals, expiries, notice periods – to the relevant stakeholders in good time.
- Liaise directly with clients and with internal teams (Legal, Finance, Client Servicing) to negotiate, clarify and finalise contractual terms.




- Support the standardisation of Zeidler's client contract templates and playbooks, working with Legal to keep precedents current with market practice and regulatory change.

Client & Counterparty Due Diligence

- Manage the due diligence Zeidler carries out on prospective and existing clients, including client due diligence/KYC checks, screening and risk assessments, as part of onboarding and periodic review.
- Own the due diligence that clients and counterparties carry out on Zeidler, including responding to incoming due diligence questionnaires (DDQs), vendor and security questionnaires, and the compliance sections of RFPs/RFIs, coordinating input from IT, HR, Legal and Information Security as needed.
- Maintain Zeidler's standard due diligence response packs and supporting evidence library, keeping them current and ready for rapid turnaround.
- Track outstanding due diligence requests and renewals, and escalate gaps or risk items to the COO/CDO or relevant stakeholders.

Policy Framework

- Own and maintain Zeidler's policy framework outside of the ISMS suite – for example corporate governance, HR, outsourcing/vendor management, conflicts of interest, anti-bribery and corruption, and whistleblowing policies – ensuring each policy is reviewed, version-controlled and approved on schedule.
- Coordinate with policy owners across the business to draft, update and roll out current and amended policies, and support staff communication and training on policy changes.
- Maintain a central policy register/tracker for all non-ISMS policies and act as the first point of contact for policy queries from clients, auditors and internal teams.
- Support internal and external audits and client due diligence exercises by providing accurate, well-organised documentation of the policy framework.

General

- Liaise with stakeholders across Zeidler's international offices, including Legal, Compliance, Information Security, HR and Finance.
- Identify opportunities to improve and digitise contract, due diligence and policy workflows, including via the Zeidler Swift platform.




- Assist with ad hoc governance, risk and compliance projects as required.

About You

Required skills:

- 5 years' experience in contract management, compliance, legal operations, vendor/third-party risk management or a related governance function, ideally within financial services, asset management or professional/legal services.
- Proven experience managing commercial contracts end-to-end, including drafting, negotiation and lifecycle tracking.
- Experience with client and/or counterparty due diligence processes, including KYC and responding to due diligence questionnaires or RFPs.
- Experience maintaining or contributing to a corporate policy framework.
- Excellent written and spoken English, with strong drafting and communication skills.
- Outstanding attention to detail and a methodical, organised approach to work.
- Strong stakeholder management skills, comfortable liaising directly with clients, senior internal stakeholders and external counterparties.
- Able to manage multiple work streams and deadlines independently.
- Proficient in Microsoft Office, particularly Word and Excel, with a genuine interest in legal tech and process improvement.
- Discreet and trustworthy when handling confidential client and company information.

Desired skills:

- Prior experience working with or for an international law firm, asset manager, or regulated financial services firm.
- Familiarity with contract lifecycle management (CLM) tools and/or due diligence platforms.
- Knowledge of data protection, AML/KYC or outsourcing-related regulatory requirements.

Education:

- Bachelor's or Master's degree in Law, Business, Finance or a related field.
