NRole Overview:
NWe are looking for a Company Secretary with strong experience in handling end-to-end secretarial compliances of unlisted group companies/subsidiaries. The role will involve independently managing secretarial matters for approximately 20–25 Physics Wallah Group companies, including foreign subsidiaries.
NKey Responsibilities:

- End-to-end secretarial compliances under the Companies Act, ODI, FEMA N
- Handling Board/Shareholder meetings, agenda, notices, resolutions, minutes and statutory registers. N
- Complete MCA/ROC filings and maintenance of statutory records. N
- Handling FEMA/RBI compliances and foreign subsidiary-related matters. N
- Compliance relating to material subsidiaries and group companies from SEBI LODR perspective, including RPTs. N
- Handling director remuneration, loans to directors, inter-company loans,



guarantees and investments. N
- Drafting/reviewing loanagreements and other corporate/secretarial documents. N
- Handling private placements, allotments, dematerialisation of shares, ISIN and depository-related compliances. N
- Coordinating and handling Secretarial Audits and closure of audit observations. N
- Liaising with Finance, Tax, Legal, Treasury and other internal teams, as well as CS firms, consultants, auditors, RTA, NSDL/CDSL, banks and other external stakeholders. N
- Maintaining compliance trackers and ensuring timely completion of all statutory and corporate compliances. N
