Hiring: Head – Legal & Compliance | Leading Alternative Investment Fund (AIF) | Mumbai A leading domestic Alternative Investment Fund (AIF) is looking for a seasoned leader to head its Legal and Compliance function and act as the designated Compliance Officer.

Key Responsibilities:

- Serve as the designated Compliance Officer across Category I and II AIFs, driving SEBI regulatory compliance, inspections, PPM audits, and reporting frameworks.

- Oversee fund formation, structuring, and negotiations for PPMs, trust deeds, contribution agreements, and side letters.

- Lead legal aspects of investment transactions across direct equity, private debt/credit, and fund-of-funds strategies, including SHA/SPA negotiation, due diligence, and deal structuring.

- Supervise AML, KYC,



and PMLA frameworks, investor grievance redressal, and governance for the Board and Investment Committees.

- Partner with the MD & CEO, senior investment leadership, trustees, and regulators while managing external legal counsel.

Qualifications and Experience:

- LL.B. from a recognized university (LL.M. or CS is an advantage).

- Mandatory NISM Series III-C: Securities Intermediaries Compliance (Fund) certification (in line with SEBI timelines).

- 12+years of relevant legal and compliance experience with substantial, hands-on exposure to SEBI-regulated AIFs (direct equity, private credit/debt, and fund-of-funds).

- Deep proficiency in SEBI AIF regulations, Companies Act, FEMA, RBI, and PMLA requirements.
