Gelikaps Lifesciences Ltd., formerly known as Dinesh Remedies Limited, is a GMP-certified manufacturer of Empty Hard Gelatin Capsules serving the pharmaceutical, nutraceutical, herbal, and healthcare industries.
n
We are looking for a qualified, proactive, and results-oriented Company Secretary to independently manage our corporate secretarial and statutory compliance function.
n
This is a high-responsibility role offering direct interaction with senior management and the opportunity to contribute to the company's corporate governance, statutory compliance, and corporate affairs.
n
Key Responsibilities
n
n
- Independently manage the company's corporate secretarial and statutory compliance function.
n
- Ensure compliance with the Companies Act, MCA requirements, applicable rules, regulations, and Secretarial Standards.
n
- Plan and coordinate Board Meetings, Committee Meetings, and General Meetings.
n
- Prepare and review agendas, notices, resolutions, minutes, explanatory statements, and related documentation.
n
- Maintain statutory registers, minutes books, corporate records, and other secretarial documentation.
n
- Ensure timely and accurate MCA filings, statutory returns, resolutions, and regulatory submissions.
n
- Provide practical guidance to management on corporate law, governance, and statutory compliance matters.
n
- Coordinate with Directors, senior management, auditors, legal advisors, consultants, regulators, and other stakeholders.
n
- Handle matters relating to shareholding, share transfers, allotments, corporate actions, securities, and related documentation.
n
- Support corporate restructuring, due diligence, agreements, fundraising, and other corporate transactions, as applicable.
n
- Monitor changes in applicable laws and regulations and ensure timely implementation of relevant requirements.
n
- Identify compliance risks and drive appropriate corrective actions and timely closure.
n
- Maintain high standards of confidentiality, accuracy, integrity, and corporate governance.
n
- Take ownership of assigned matters and ensure timely execution with minimal supervision.
n

What We Are Looking For

The ideal candidate will:

- Have strong practical knowledge of corporate law and statutory compliance.
n
- Be capable of independently managing the company's secretarial function.
n
- Demonstrate strong analytical, drafting, communication, and decision-making skills.
n
- Be confident in dealing with senior management, Directors, auditors, consultants, regulators, and external stakeholders.
n
- Be highly organized, detail-oriented, and deadline-driven.
n
- Demonstrate strong ownership and problem-solving abilities.
n
- Be capable of working effectively in a fast-paced, high-accountability environment.
n
- Proactively identify issues and drive matters through to completion.
n

Must-Have Qualifications
n
n
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
n
- 3+ years of relevant post-qualification experience in corporate secretarial and statutory compliance.
n
- Strong hands-on experience in Companies Act compliance, MCA filings, Board/Committee Meetings, General Meetings, statutory registers, minutes, and corporate records.
n
- Strong practical knowledge of Secretarial Standards (SS-1 & SS-2).
n
- Proven ability to independently manage end-to-end secretarial compliance.
n
- Strong drafting skills covering notices, agendas, resolutions, minutes, declarations, letters, and corporate documents.
n
- Willingness to work on-site at Padra, Gujarat.
n
- Immediate joiners or candidates available to join within 15 days will be strongly preferred.
n

Preferred Qualifications
n
n
- Experience working directly with Boards of Directors and senior management.
n
- Experience with public, listed, or unlisted companies, preferably in a regulated or manufacturing environment.
n
- Exposure to SEBI regulations, FEMA, RBI regulations, securities laws, and other applicable regulatory requirements.
n
- Experience in corporate restructuring, mergers and acquisitions, due diligence, fundraising, or other corporate transactions.
n
- Experience coordinating with statutory auditors, internal auditors, legal counsel, consultants, and regulatory authorities.
n
- Experience developing corporate governance frameworks, compliance calendars, SOPs, and internal controls.
n
- Prior experience in the pharmaceutical, healthcare, manufacturing, or other regulated industries.
n
- Strong stakeholder management, commercial awareness, and business judgment.
n
