ABOUT THE ROLE
Zanskar is seeking an execution-focused Compliance Officer for its GIFT City team. The role involves hands-on responsibility across GIFT City/IFSC regulatory compliance, Stock Broking compliances, corporate secretarial matters, fundraising and transaction execution, and legal documentation.The position requires close coordination with senior management, legal counsel, practising CS firms, lenders, debenture trustees, investors and other advisors, with end-to-end ownership of matters from initial discussions and term sheets through documentation, approvals, execution, regulatory filings and closure, rather than being limited to routine compliance activities
KEY RESPONSIBILITIES
1. GIFT City / IFSC & AIF Compliance
- Act as the Compliance Officer for our GIFT City Category III AIF / Fund Management business.
- Ensure timely compliance with applicable IFSCA, AIF and fund management regulations, including regulatory filings, disclosures, returns, registers and other requirements.
- Maintain the compliance calendar and regulatory tracker and monitor regulatory changes and their impact on the business.
- Coordinate with IFSCA, trustees, auditors, external counsel and other advisors on regulatory matters, filings, applications and responses.
- Support implementation of appropriate compliance policies, SOPs and governance processes for the FME/AIF.
2. Fundraising & Transaction Execution
- Drive end-to-end corporate secretarial execution for NCDs, term loans, working capital facilities and other debt/equity fundraises.
- Coordinate documentation, approvals, resolutions, offer documents, agreements and closing requirements with external counsel, lenders, investors, debenture trustees and other parties.
- Manage ROC/MCA charge creation, modification and satisfaction and related filings.
- Maintain transaction trackers and ensure timely completion of Conditions Precedent (CPs) and Conditions Subsequent (CSs).
3. Corporate Secretarial & Governance
- Manage routine and event-based MCA/ROC and corporate secretarial compliances across relevant group entities.
- Maintain statutory registers, corporate records, resolutions, minutes and other secretarial documentation.
- Support corporate actions relating to securities issuance, allotment/transfer, directors/designated partners, charges and other corporate matters.
- Coordinate Board, shareholder and partner processes, as applicable.
4. Legal Documentation & Advisory Coordination
- Conduct first-level review of NDAs, commercial agreements, vendor agreements, engagement letters, MoUs, loan documents and other legal agreements.
- Identify key legal, commercial and regulatory issues and coordinate with external counsel for specialised advice, drafting and negotiations.
- Act as the primary coordinator with external lawyers, practising CS firms, lenders, investors, trustees and other professional advisors.
- Maintain a central repository of legal, regulatory and transaction documentation and ensure proper execution and closure.
REQUIREMENTS & CANDIDATE PROFILE
- Qualified Company Secretary (CS) - Mandatory.
- CS + LLB - Strongly Preferred.
- 2- 5 years of relevant experience, preferably in financial services, AIFs, fund management, capital markets, NBFCs, broking or other regulated businesses.
- Prior experience with GIFT City / IFSC / IFSCA regulations is strongly preferred.
- Candidates who have completed the Certificate Course on Regulatory Framework for Fund Management in IFSC will be preferred. Others should be willing to complete it before or shortly after joining.
- Solid practical understanding of Companies Act, LLP Act, MCA/ROC filings, securities issuance, charge creation and corporate documentation.
- Comfortable reviewing legal agreements and identifying key commercial, legal and regulatory issues.
- Strong stakeholder management, organisation and project execution skills.
- High ownership mindset with the ability to independently manage multiple transactions and compliance requirements.
