Qualification: Qualified Company Secretary (CS) preferred; LLB an added advantage

Role Overview:

n

We are looking for a hands-on Company Secretary to own secretarial and regulatory compliance end-to-end. The role will cover Companies Act, 2013, ROC/MCA and RBI/NBFC compliances, working closely with business and leadership teams.

n

Key Responsibilities:

n

n
Manage end-to-end secretarial and Companies Act compliances, including Board/Committee/General Meetings, minutes, resolutions and statutory registers.
n
Handle MCA/ROC filings, annual and event-based compliances, director-related filings and share capital matters.
n
Manage RBI/NBFC regulatory compliances, returns, reporting and compliance calendar.
n
Track and implement applicable RBI Master Directions, KYC/AML, Fair Practices Code and Digital Lending Guidelines.
n
Draft and review policies, regulatory correspondence, loan documentation, KFS and customer-facing communications.
n
Coordinate with RBI, ROC, RTAs,



auditors, legal counsel and other external stakeholders.
n
Support internal/statutory audits and regulatory inspections.
n
Partner with Credit, Operations, Product, Technology and Finance teams to embed compliance into business processes.
n
Review recent products, partnerships and digital journeys from a regulatory and compliance perspective.
n

Ideal Profile:

n

n
4–8 years of experience in secretarial/regulatory compliance, preferably with an NBFC, bank, fintech or CS firm handling NBFC clients.
n
Robust working knowledge of the Companies Act, 2013 and RBI/NBFC regulations.
n
Hands-on experience with MCA/ROC and RBI filings.
n
Robust drafting and documentation skills.
n
High ownership, attention to detail and ability to work independently.
n
Comfortable working in a quick-paced, lean and evolving workplace.
n
Practical, commercially aware and solution-oriented approach to compliance.
