Senior Legal Associate
Role Overview & Strategic Intent

Execution excellence in this role looks like structural invisibility — a governance framework so well-built that it rarely makes headlines, rarely triggers crisis, and rarely requires public defense, because the discipline was built into the system long before any test arrived.
Success is measured not by visible wins, but by the absence of preventable failures: audits passed without scramble, board decisions made with full fiduciary clarity, compliance frameworks that hold up under regulatory scrutiny years after they were written, and an institutional culture where doing the right thing is procedurally easy and doing the wrong thing is structurally difficult.
Key Responsibilities & Ownership
Governance & Compliance
- Serve as principal legal advisor to the Board and senior leadership on fiduciary duty, regulatory compliance, and institutional risk.
- Draft, review,
and continuously refine governing instruments: trust deeds, bylaws, conflict-of-interest policies, delegation-of-authority frameworks.
- Monitor regulatory environment changes affecting trust status, tax-exempt standing, and cross-jurisdictional obligations; translate changes into actionable policy updates.
- Maintain audit-readiness as a continuous state, not a periodic scramble.
Operational Execution
- Provide day-to-day legal counsel to program and operations teams navigating grant agreements, partnership contracts, and donor stipulations.
- Investigate and resolve ethics concerns and whistleblower reports through established, protected channels — with absolute discretion and procedural fairness.
- Advise leadership on decision-specific legal exposure in real time, without becoming a bottleneck to mission execution.
System Building
- Design and document SOPs that convert institutional knowledge into repeatable, transferable process — ensuring no governance function depends on any single individual's memory or presence.
- Build training frameworks so board members, staff, and successors understand not just what the rules are, but why they exist.
- Establish escalation protocols and decision-rights maps that will remain functional under future leadership transitions.
Qualifications & Experience Prerequisites
- Minimum 15+ years of legal practice, with substantial direct experience in nonprofit governance, trust law,
or regulatory compliance at an institutional scale.
- Demonstrated prior service — paid or unpaid — on a nonprofit board, trusteeship, or governance advisory capacity.
- A verifiable record of building or substantially reforming a governance or compliance framework from an earlier role (not merely operating within one).
- Bar admission and standing appropriate to relevant jurisdiction(s); comfort operating across regulatory frameworks if the Trust has cross-border obligations.
- References who can specifically speak to the candidate's conduct during periods of low visibility and high tedium — not only during moments of crisis or triumph.
Culture, Governance & Working Principles
This role reports into an established leadership hierarchy and operates within a defined chain of decision authority. Disagreement is welcome through structured channels; unilateral action outside those channels is not. You will be expected to voice concerns clearly, once, through the correct process — and then to execute leadership's final decision fully, even when it differs from your own recommendation.
This is a non-monetary, mission-first engagement. Candidates motivated primarily by compensation, title, public recognition, or career advancement are not a fit for this role, and we say this plainly rather than discovering it six months in.
