We are seeking a motivated and detail-oriented Legal Associate with 2–3 years of professional experience in corporate legal matters, with a strong focus on Corporate Law and Mergers & Acquisitions (M&A;). The ideal candidate will possess a solid understanding of corporate transactions, legal documentation, regulatory requirements, and due diligence processes. This role offers an excellent chance to work on complex corporate matters and contribute to high-impact business transactions.
As a Legal Associate, you will support the legal team in advising clients and internal stakeholders on a broad range of corporate and commercial matters. You will play an important role in managing legal documentation, conducting research, reviewing agreements, and supporting transactions involving mergers, acquisitions, restructuring, investments, and other corporate activities.
Key Responsibilities
- Assist in handling a wide range of Corporate Law matters, including corporate governance, regulatory compliance, business structuring, and commercial transactions.
- Support end-to-end Mergers & Acquisitions (M&A;) transactions, including acquisitions, mergers, investments, joint ventures, restructuring, and related corporate activities.
- Conduct legal due diligence by reviewing corporate records, contracts, licenses, regulatory documents, and other relevant materials.
- Draft, review, and negotiate transaction documents, including share purchase agreements, shareholders' agreements, investment agreements, term sheets, confidentiality agreements, and other corporate contracts.
- Assist in preparing transaction-related documentation and ensuring that all legal requirements and conditions are appropriately addressed.
- Conduct legal research on corporate laws, regulations, precedents, and compliance requirements.
- Identify potential legal risks and provide appropriate recommendations under the guidance of senior legal professionals.
- Support corporate governance activities, including the preparation of board resolutions, shareholder resolutions, meeting minutes, and statutory documentation.
- Coordinate with internal teams, clients, external counsels, regulatory authorities, and other stakeholders involved in corporate transactions.
- Maintain accurate records and documentation related to legal matters and transactions.
- Stay updated on changes in corporate laws, regulations, and legal developments relevant to mergers and acquisitions.
- Assist senior lawyers and legal professionals in managing multiple assignments and ensuring timely completion of deliverables.
Must-Have Skills
- Strong knowledge and practical experience in Corporate Law.
- Hands-on exposure to Mergers & Acquisitions (M&A;) and corporate transactions.
- Understanding of the legal processes involved in mergers, acquisitions, investments, and corporate restructuring.
- Experience in conducting legal due diligence.
- Ability to draft and review corporate and transaction-related legal documents.
- Strong legal research and analytical skills.
- Good understanding of corporate governance and regulatory compliance.
- Excellent attention to detail and ability to identify legal risks.

Qualifications and Experience
- Bachelor’s degree in Law (LLB) or an equivalent legal qualification from a recognized institution.
- 2–3 years of relevant experience as a Legal Associate, Corporate Lawyer, or in a similar legal role.
- Prior experience with a law firm, corporate legal department, consulting firm, or organization handling corporate transactions will be preferred.
